Operation Manual. The Operator shall prepare an operation manual (the “Operation Manual”) for the operation of Buses in conformity with Good Industry Practice and the provisions of this Article 16. (a) The Recipient shall: (i) develop under terms of reference satisfactory to the Association, and furnish to the Association for its approval an operations manual for the implementation of the Project, said manual to cover monitoring and evaluation, coordination, financial management (including financial, administrative and accounting procedures, procurement, internal controls and audits), and other matters related to the institutional organization and management of the Project; and (ii) thereafter adopt such manual as shall have been approved by the Association (“Operation Manual”) and carry out the Project implementation in accordance with the Operation Manual.
(b) Except as the Association shall otherwise agree, the Recipient shall not amend, abrogate or waive the Operation Manual, or any provision thereof. In case of any conflict between the provisions of this Agreement and those of the Operation Manual, the provisions of this Agreement shall prevail.

Operation Manual. 1. Not later than ninety (90) days after the Effective Date, the Recipient shall through the MoA adopt the Operation Manual (“OM”), on the terms satisfactory to the Bank, which shall include the rules, methods, guidelines, standard documents and procedures for the carrying out of the Operation, including the following:
(a) administration and coordination, monitoring and evaluation, financial management, procurement and accounting procedures, environmental and social standards, fraud and corruption mitigation measures for the Project, including compliance with the ESCP and anti-corruption guidelines (“ACGs”);
(b) provisions regarding the application of the ACGs to the Program, including the Recipient obligation to ensure that of all the agencies involved in the implementation of the Program cooperate with Bank investigations for the Program;
(c) detailed arrangements for verification of achievement of the DLIs (including the Verification Protocol);
(d) composition, roles and responsibilities of the Delivery Unit, Steering Committee and Program Institutions;
(e) a grievance mechanism for the Operation;
(f) personal data collection and processing in accordance with the applicable national guidelines acceptable to the Bank; and
(g) such other arrangements and procedures as shall be required for the effective implementation of the Operation, in form and substance satisfactory to the Bank.
2. The OM may not be assigned, amended, abrogated or waived, or permitted to be assigned, amended, abrogated or waived, or any provision thereof, in a manner which, in the opinion of the Bank, may materially and adversely affect the implementation of the Project. The OM may only be amended in consultation with, and after approval of, the Bank.
3. In case of any conflict between the terms of the OM and those of this Agreement, the terms of this Agreement shall prevail.

16.3.2 The Operation Manual shall interalia include the following:
(a) instructions to operating staff for operation of the Bus;
(b) instructions for troubleshooting the Buses, including any software incorporated in the Buses;
(c) dos and don’ts for operating staff;
(d) safety precautions to be taken by the operating staff;
(e) rating and layout of equipment;
(f) operating limits of installed systems; and
(g) control and safety features of the Buses.
(h) Instructions for operating staff on response and referral of public grievances/complaints to concerned authorities
(i) Protocols for operating staff to manage emergency situation (emergency preparedness- first aid, emergency evacuation, etc.)
