Option to Purchase Option Shares. (a) On or before the fifth anniversary of the Closing Date, Holdings shall have the right, but not the obligation, to purchase from Seller and to require Seller to sell to Holdings (such right, the "Option"), from time to time, all or any portion of the Option Shares by delivering a written notice (the "Option Notice") to the Seller setting forth the number of Option Shares to be purchased. (b) The purchase price for the Option Shares (the "Option Shares Purchase Price") shall be an amount equal to the product of: (1) Six Hundred Percent (600%) of the Net Income Before Taxes of the Business for the calendar year immediately preceding the date the Option Notice is given by Buyer, less all Indebtedness of Buyer on the date the Option Notice is given; and (2) the percentage of outstanding share capital of the Company represented by the Option Shares covered by the Option Notice (the "Minority Share Percentage").   • Exercise of Repurchase Option The Repurchase Option shall be exercised by written notice signed by an officer of the Company or by any assignee or assignees of the Company and delivered or mailed as provided in Section 17(a). Such notice shall identify the number of shares of Stock to be purchased and shall notify Purchaser of the time, place and date for settlement of such purchase, which shall be scheduled by the Company within the term of the Repurchase Option set forth in Section 2(a) above.   • Repurchase Option (a) In the event Executive ceases to be employed by the Company, Employer or their respective Subsidiaries for any reason (the “Separation”), the Unvested Shares (whether held by Executive or one or more of Executive’s transferees, other than the Company) will be subject to repurchase, in each case by the Company and the Investors pursuant to the terms and conditions set forth in this Section 3 (the “Repurchase Option”).
