Payment Gateway. EXPRESSLY DISCLAIMS ANY LIABILITY OR LOSS FOR THE LEGITIMACY OF ORDERS FORWARDED FROM YOU AND FOR ANY AND ALL CLAIMS OF LOSS AND/OR FRAUD INCURRED RESULTING FROM CONCLUSIONS DRAWN FROM THE DATA PROVIDED BY ANY SERVICES PROVIDED BY PAYMENT GATEWAY, OR ANY SYSTEM OR PROGRAM ASSOCIATED THEREWITH OR THE LIMITATION OF THE FUNCTIONING OF ANY PAYMENT GATEWAY SERVICES OR SOFTWARE, HARDWARE, OR EQUIPMENT ASSOCIATED THEREWITH WHETHER IT IS OWNED BY PAYMENT GATEWAY OR OFFERED THROUGH A THIRD PARTY SERVICE PROVIDER OR OTHER ENTITY.

We utilise third party payment gateways provided by Westpac New Zealand, Merchant Warrior, Braintree and Paypal (each a, “Payment Gateway”) to process payments made to Us via the Member Portal. 6.2. If You make credit card payments on the Website You acknowledge and understand that: (a) the Payment Gateway may be affected by delays, defects, faults and/or other matters which render the Payment Gateway unusable. These matters may be caused by factors including technical difficulties with the performance or operation of Our or the Payment Gateway’s software or hardware or due to problems or malfunctions with the Internet or other telecommunications networks; (b) We do not warrant, guarantee or represent that unauthorised access to information and data cannot occur; (c) You have relied on Your own independent assessment and judgment in determining whether the Payment Gateway We use on the Member Portal meets Your requirements; and (d) You have read, understand and agree to comply with the applicable terms and conditions of, and have read, understood and agree with the privacy policy of, the Payment Gateway providers (collectively, the “Payment Gateway Agreement”), copies of which are available from Us on request. 6.3. You indemnify Us in respect of all and any loss or damage We incur as a result of any breach by You of the Payment Gateway Agreement.

By creating a link to a payment gateway, we do not endorse the payment gateway, nor are we liable for any failure of products or services offered by such a payment gateway. Such a payment gateway may have a privacy policy different from than ours. All failures/errors/omissions of the payment gateway shall be solely on the payment gateway. You hereby consent that you shall not ▇▇▇ the Website for any disputes that you may have with the payment gateway for any wrongdoing of the payment gateway.

Bank can offer Payment Gateway service through M/s World line in hosted model and M/S Razorpay Software Pvt Ltd in aggregation model. The Vendor selection will be done as per the discretion of bank unless a specific vendor request is raised.
Payment Gateway. Provider must supply a payment gateway for the payment of all fees by end users, and Provider will bear all costs associated with providing such payment gateway, including all per transaction costs. Passport can provide such gateway services to Provider. Exhibit B contains a list of payment gateways supported by Passport. For all other payment gateways, Passport will charge a two hundred and fifty dollar ($250.00) per development hour necessary to perform necessary integrations. Passport agrees to forego or return, as applicable, its per transaction fees for any refund granted by Provider. Provider will be responsible for reimbursing Passport for all merchant processing fees, including without limitation payment gateway fees, settlement fees, and interchange reimbursement fees, if any, incurred by Passport for all transactions, including refunded transactions. Passport will send monthly invoices to Provider by the tenth day of each month for all fees payable to Passport that accrued during the preceding month. If Provider fails to remit payment according to such invoices within thirty (30) days after the date on the invoice, Passport will have the right to suspend Provider’s access to the Software. If Passport plans to perform any scheduled maintenance during business hours, Passport will provide notice to Provider at least twenty-­‐four (24) hours in advance of the commencement of such scheduled maintenance. For the purpose of this section, “business hours” means Monday through Friday between 9 AM Eastern Time and 5 PM Eastern Time. Any system-wide improvements or modifications made by Passport to the Software platform will be promptly provided to Provider and will automatically be subject to the terms of this Agreement. The Provider may request new features or functionality to be built into the system, and, to the extent that Passport plans to incorporate such requested new features or functionality into the Software, Passport will develop such features and functionality at no cost to the Provider. If the Provider desires to expedite such development, Passport may, at its sole discretion, charge Provider an expedite fee of two hundred dollars ($200.00) per development hour necessary to develop the requested features or functionality. Payment Gateway. CSG will provide to Customers and Customers may purchase from CSG, the “Payment Gateway Service” which facilitates the routing of, in each case, credit card transactions (****, **********, ********, and ******** *******) and debit card transactions for Connected Subscribers, as well as such card transactions originated by any Customer from non-CSG systems which shall be limited to Convergys and its successors or assigns (“Non-CSG”), to Customer’s designated third party processors. The Payment Gateway Service provides BIN management capabilities which enable PIN-less debit processing. Based on the BIN and the cardholder’s designated transaction method, the Payment Gateway Service will determine the eligibility of each card transaction for PIN-less debit processing and, if eligible for PIN-less debit processing, shall transmit such card transaction on a real-time basis to Customer’s designated payment processor as a debit card transaction. Customer’s designated payment process for debit card transactions may be, at the election of Customer, different than Customer’s payment processor for credit card transactions. If a debit card transaction is rejected as being eligible for PIN-less debit processing, the debit card transaction will be re-routed by CSG to Customer’s designated credit card processor. The Payment Gateway Service supports one-time and recurring card payments. The Payment Gateway Service is an additional feature beyond currently supported Recurring Credit Card Processing and One-time Credit Card Processing Services. In addition, CSG will provide such Recurring Credit Card Processing and One-Time Credit Card Processing Services for Non-CSG credit card (including debit cards ineligible for PIN-less debit) transactions in terms of sending batch files on a nightly basis in the appropriate format to Customer’s designated payment processer (which may, at the election of Customer, be different for credit versus debit card transactions), excluding, however, posting of payments for any such Non-CSG card transactions. In addition, as part of the Payment Gateway Service, CSG shall provide any additional requirements relating to card transactions as set forth in that certain Statement of Work between Customer and CSG identified by CSG document no. 2301093.
