Payment Requirement Sample Clauses

Payment Requirement. Unless expressly provided to the contrary elsewhere herein, Borrower shall make each payment on the Loan Obligations to Administrative Agent for the account of Lenders as required under the Loan Documents at the Applicable Lending Office of the Administrative Agent on the date when due, without deduction, setoff or counterclaim. All such payments will be distributed by Administrative Agent to Lenders as provided in Section 16.10 for application to the Loan Obligations as provided herein.

Payment Requirement. Non-photo license contracts. The requirement that at least 75% of the amount the Commonwealth Purchasing Agency pays for the Goods and/or Services be remitted to the Agency For Persons With Disabilities to cover Allowable Costs of the Agency For Persons With Disabilities in manufacturing Goods and/or performing Services.

Payment Requirement. The requirement that at least 75% (or, for operation of the Commonwealth’s photo driver license centers, 70%) of the amount the purchasing agency pays for the goods or services be remitted to the Agency For Persons With Disabilities to cover payment of wages and salaries to persons with disabilities and to cover other actual manufacturing costs the Agency For Persons With Disabilities incurs in manufacturing goods. Wages and salaries to persons with disabilities, and all costs associated with manufacturing goods and/or performing services, may be considered as “manufacturing costs” to be included in this requirement. Wages and salaries for Direct Labor to non- disabled persons and non-allowable costs such as sub-contracting the prime scope of work under the main contract are excluded.

Payment Requirement. Except as provided in Section 6.1. 2.1 with respect to payments from collected funds in the Cash Collateral Account and unless expressly provided to the contrary elsewhere herein, Borrower shall make each payment on the Loan Obligations to Administrative Agent for the account of Lenders (based on each Lender's pro-rata share) as required under the Loan Documents at the Applicable Lending Office of the Administrative Agent on the date when due, without deduction, set-off or counterclaim (provided, however, the making of such payment shall not constitute a waiver by Borrower of counterclaims arising from the willful misconduct or gross negligence of Administrative Agent or the Lenders). All such payments will be distributed by Administrative Agent to Lenders as provided in Section 17.10 for application to the Loan Obligations as provided herein.
