Performance Award Amount. Except as provided below, distribution of Shares under this Performance Award, if any, will be made following the close of the Performance Period and on or before December 15, 2008. The Committee will determine the performance criteria that will apply to each fiscal year included in the Performance Period. The determination of whether, and to what extent, such criteria are satisfied, and the determination of the percentage, if any, of the Performance Award to be distributed to you, will be conclusively determined by the Committee. The actual Performance Award amount will be equal to the sum of each fiscal year amount where each fiscal year amount is calculated as follows:
Performance Award Amount. Subject to the terms of this Agreement and the Plan, the Participant is hereby awarded a Performance Award in the form of a bonus equal to the amount of Three Million Two Hundred Eighty-Six Thousand and Sixty-Five Dollars ($3,286,065.00), payable in cash, shares of Common Stock (Nonvoting) or a combination thereof at the discretion of the Committee, according to the terms set forth herein, provided the Participant achieves the Performance Objective set forth below on or before April 15, 2004. Such Performance Award shall be reflected in a book account maintained by the Company during the Performance Period.
Performance Award Amount. If you satisfy award conditions described herein, you will receive a payment of up to $200,000, less applicable deductions. The amount for which you qualify, under the terms and conditions described in this Agreement, will be paid to you in a single sum in March of 2021.
