Period of Transition. Upon termination or expiration of this Agreement, and for one hundred and eighty (180) calendar days, with the option of extending the period of transition for additional terms thereafter (the Transition Period), CONTRACTOR agrees to make himself available to assist the PRDOH. CONTRACTOR shall provide to the PRDOH the assistance reasonably requested to facilitate the orderly transfer of responsibility for the performance of the Services to the PRDOH or a third party designated by the PRDOH. PRDOH reserves the right to provide for the execution of a Transition Services Agreement for the Transition Period. In such instance, the CONTRACTOR will be paid at a reasonable, agree upon, hourly rate for any work performed for the PRDOH during the Transition Period, all finished or unfinished records (files, data, work product) connected with this Agreement will be turned over to PRDOH.
Period of Transition. The Company and Mr. Van Loan agree that he will continue to be employed by IBC at his current level of compensation and benefits until his Retirement Date, including any annual cash and/or equity-based bonus earned for 2005 (some or all of which may be paid in the first quarter of 2006) in accordance with the Company’s annual incentive plans.
Period of Transition. The following shall apply to the Period of Transition: (a) EMPLOYMENT DUTIES AND RESPONSIBILITIES. Throughout the Period of Transition, Bayman shall serve in an advisory capacity to the Chief ▇▇▇▇▇▇ive Officer and shall perform such tasks as shall be reasonably requested of him from time to time by the Chief Executive Officer. In addition, during the first year of the Period of Transition, Bayman shall be regularly available as requested by the ▇▇▇▇▇ Executive Officer to assist in evaluating industry and market conditions, evaluating corporate opportunities, assisting in any related merger, acquisition and consolidation activities, developing strategic plans, and undertaking similar corporate development activities.
Period of Transition. Upon termination of this Agreement, and for ninety (90) consecutive calendar days thereafter (the Transition Period), Contractor agrees to make himself available to assist the MSJ with the transition of services assigned to Contractor by the MSJ. Contractor shall provide to the MSJ the assistance reasonably requested to facilitate the orderly transfer of responsibility for performance of the Services to the MSJ or a third party designated by the MSJ. MSJ reserves the right to provide for the execution of a Transition Services Agreement for the Transition Period. In such instance, the Contractor will be paid at a reasonable, agreed upon, hourly rate for any work performed for the MSJ during the Transition Period. Moreover, during that Transition Period, all finished or unfinished records (files, data, work product) connected with this Agreement will be turned over to MSJ.
Period of Transition. The transition period shall be for up to two (2) years, unless such period is otherwise extended for up to two (2) additional years at the sole discretion (but not obligation) of the League. At the end of two (2) years, if a linesman has not yet qualified to be a referee in the NHL, then the linesman is free to return to the NHL as a linesman. In addition, a linesman who does qualify as an NHL referee retains the option of declining the transition and returning to the NHL as a linesman. Finally, a linesman who, after one (1) year of transition, qualifies as an NHL referee, referees for one (1) year and determines that he wishes to return to the NHL as a linesman, shall be at liberty to do so. In all of these instances, upon return to the NHL as a linesman, such linesman’s salary shall be that found on Exhibit B at the level applicable to the linesman as if he had continued to serve as a linesman in lieu of attempting the transition.

Subrecipient shall provide to the PRDOH the assistance reasonably requested to facilitate the orderly transfer of responsibility for performance of the Services to the PRDOH or a third party designated by the PRDOH. PRDOH reserves the right to provide for the execution of a Transition Services Agreement for the Transition Period. In such instance, the Subrecipient will be paid at a reasonable, agreed upon, hourly rate for any work performed for the PRDOH during the Transition Period. Moreover, during that Transition Period, all finished or unfinished records (files, data, work product) connected with this Agreement will be turned over to PRDOH.
Period of Transition. Beginning as of the date of this letter and continuing until December 31, 2009, you shall remain an employee of ▇▇▇▇▇▇ pursuant to the terms of this Agreement. You will continue to fulfill, to the best of your abilities, the duties and obligations of the position of Vice President and Chief Financial Officer until the earlier to occur of (a) the naming by ▇▇▇▇▇▇ of your successor; or (b) December 31, 2009. Upon the earlier to occur of (a) the naming by ▇▇▇▇▇▇ of your successor; or (b) December 31, 2009, you will relinquish your position as Vice President and Chief Financial Officer. Should the relinquishment of your position occur prior to December 31, 2009, you will continue to work until December 31, 2009 on an orderly transition of your former duties and obligations to your successor. During the period from the date of this Agreement until December 31, 2009 you shall continue to receive your current annual base salary in accordance with ▇▇▇▇▇▇’▇ normal payroll practices and continue to be entitled to those employee benefits currently being received by you.

  • Period of Services Unless otherwise stated herein, the Consultant will begin work after receipt of a properly executed copy of this Agreement. This Agreement assumes conditions permitting continuous and orderly progress through completion of the services. Times for performance shall be extended as necessary for delays or suspensions due to circumstances that the Consultant does not control. If such delay or suspension extends for more than six months, Consultant’s compensation shall be renegotiated.

  • PERIOD OF SERVICE The Grant Services will commence on the Start Date and shall expire on the End Date as set forth in the SUMMARY PAGE.

  • Transition Period Due to the nature of our purchasing process, the District often requires an existing service provider to continue to provide goods and/or services while the District is in the process of advertising, evaluating, and awarding a contract for the provision of the same goods and/or services in the future. To accommodate this process, the Contractor shall agree to maintain the same terms and conditions set forth in this Agreement for a period up to ninety (90) days after the automatic termination of this Agreement at the end of its term, if requested by the District, as a transition period. In addition, if the Contractor is not the successful bidder for a future solicitation for the same or similar services, he or she shall agree to provide the same goods and/or services provided in this Agreement for a period up to ninety (90) days to allow for an orderly transition to the new provider. The District and the Contractor may mutually agree to a longer transition period.
