Permits and License. Contractor represents and warrants that it will comply with all applicable laws and maintain all permits and licenses required by applicable city, county, state, and federal rules, regulations, statutes, codes, and other laws that pertain to this Contract.

Permits and License. Except as set forth on Schedule 3.12, (a) Schedule 2.01(h) contains a complete and accurate list of all material Permits (including applications therefor) used in connection with the Business, all of which are valid, validly issued, remain in effect and good standing, and are legally transferable to Buyer, and (b) there are no material permits required under applicable Legal Requirements in connection with the ownership or operation of the Business or the use and possession of the Assets other than those set forth on Schedule 2.01(h).

Contractor shall be responsible for ensuring that its employee’s State and local certifications as necessary to provide the services, if applicable, are valid and current at all times.

Permits and License. The JV Companies have all Permits necessary for them to own, lease or operate their respective Assets and to conduct the Business as conducted as of the Effective Date, all of which remain in effect and are in good standing and were validly issued, except in each case as would not materially and adversely affect the JV Companies, taken as a whole, or the conduct of the Business.
