Preapproval Clause Samples

Preapproval. Notwithstanding anything to the contrary herein, any proposed Investor Transaction must be pre-approved by a majority of the Non-Management Independent Directors.

Preapproval. An employee may take up to three (3) days (equal to the number of hours per day employed) of General Leave as Personal Leave, provided said employee has at least three (3) days of accumulated General Leave from which the Personal Leave shall be deducted. Personal leave may be granted in increments of two (2) hours, with an understanding that most Personal Leave requests of two (2) hours may not result in substitute coverage for the absence. Wherever possible, preapproval shall be required for the use of Personal Leave except as designated in 26.2.4.2. Generally, requests for Personal Leave should be submitted to the employee’s supervisor no later than ten (10) business days prior to the date of the requested leave. Some circumstances may dictate flexibility with advanced notification. In such instances, the employee should communicate the request for Personal Leave as soon as possible. Personal Leave is intended to be used to address personal business that can only be attended to during normal work hours. Personal Leave is not intended to be used to extend a vacation. Applications for Personal Leave shall be granted unless the leave is taken at any of the following times: a) The first five (5) or last five (5) school days of the year. b) The day before or after any holiday identified on the calendar. c) When such scheduled leave would result in the absence of more than one custodial staff member at the elementary and middle school or more than two custodial staff members at the high school, unless approved by the supervisor. d) When the number of substitutes requested in any one-day District-wide to cover Personal Leave exceeds three (3), unless approved by the supervisor.

Preapproval. (a) To pre-approve a Customer for purposes of having such Customer enter into a Contract with SELLER, SELLER can either (1) use the OASYS system, MFS' online instant approval process; or (2) send an original credit application and/or credit report with respect to such Customer and any and all other documentation relating to the same to MFS for preapproval, which shall be given or withheld in MFS' sole discretion. MFS shall then have the right, but not the obligation, to either approve or reject such Customer. (b) MFS shall purchase each Contract preapproved in accordance with this Section 3 when submitted in accordance with Section 2 within thirty (30) days from the date of pre-approval; provided that there are no changes with respect to such Customer, the information presented to MFS in connection with the preapproval process, or the relating Contract/Credit Application. Within said thirty (30) day period, SELLER shall send MFS the original Contract or Record, the original Authenticated Contract/Credit Application, the certificate of completion, if applicable, and employment information, if applicable. If this information is not received by MFS within the thirty (30) day period, MFS will have the option to reject the Contract or to re-qualify the same under MFS' credit guidelines.

Preapproval. (i) Contractor shall submit all printed materials to the Department for written preapproval before Contractor disseminates such printed materials unless otherwise specified by the Department in writing. Unless otherwise authorized in writing by the Department, Contractor shall include the Department logo and the names and titles of the Governor and the Secretary of Health on all printed materials. (ii) Contractor shall submit all radio, television, or online streaming materials to the Department for written preapproval of such materials prior to and after its final production.

Preapproval. An employee may use general leave days (equal to the number of hours per day employed) as Personal, Ceremony, or Religious Observance Leave, provided said employee has enough accumulated General Leave from which the leave shall be deducted. Preapproval. Xerox has determined that Tech Services Internal, LLC of Kennett Square, Pennsylvania (TSI) is financially and technically capable of adequately performing the Service Obligations and is not a competitor of Xerox and hereby grants its approval for Presstek to assign its Service Obligations to in accordance with this section PROVIDED, that TSI: /*/ [CONFIDENTIAL TREATMENT REQUESTED] INDICATES MATERIAL THAT HAS BEEN OMITTED AND FOR WHICH CONFIDENTIAL TREATMENT HAS BEEN REQUESTED. ALL SUCH OMITTED MATERIAL HAS BEEN FILED WITH THE COMMISSION PURSUANT TO RULE 24B-2 PROMULGATED UNDER THE SECURITIES AND EXCHANGE ACT OF 1934, AS AMENDED. 1. will consult with Xerox regarding any complaints received by Xerox from a Customer; and 2. will appoint an individual who will be the focal point of contact for Xerox related to complaints received by Xerox from Customers and who will be generally available to Xerox to discuss these matters. Presstek warrants that the two requirements set out in Section 2 (a) (iii) (b) 1 and 2, above, will be included in any assignment agreement between Presstek and TSI related to TSI assuming Presstek's obligations under this Agreement.

Preapproval. The CEDING COMPANY shall furnish the REINSURER for review a copy of its Guaranteed INSURABILITY Rider along with a copy of its underwriting and issue rules. No liability for future risk under a Guaranteed INSURABILITY Rider is assumed by the REINSURER unless it has given its written approval of such Rider and rules.
