Program Management. 1.1.01 Implement and operate an Immunization Program as a Responsible Entity
1.1.02 Identify at least one individual to act as the program contact in the following areas:

Program Management. Factors associated with processes to manage critical personnel, approved written procedures, and knowledge of rules and regulations regarding federal-aid projects. Following Local Agency’s completion of the Risk Assessment Tool (Exhibit L), CDOT will determine the level of monitoring it will apply to Local Agency’s performance of the Work. This risk assessment may be re-evaluated after CDOT begins performing monitoring activities.
Program Management. 1.1 Each Party will carry out any specific tasks allocated to it in the Project Plan and perform its responsibilities under this agreement in a manner that facilitates an Intern applying theoretical and other knowledge gained from their study in a practical setting and producing the anticipated deliverables specified in the Project Plan.
1.2 The Parties agree that the Internship will:
(a) commence on the Start Date and end on the End Date, unless the Parties agree different dates in writing (in which event the Start Date and the End Date will be automatically amended accordingly); and
Program Management. Lilly and Emisphere shall establish a steering ------------------ committee (the "Steering Committee"). Rather, it is intended to be a vehicle to ensure that the Programs proceed in a timely, coordinated, and well-planned fashion. It shall be made up of up to [* * *] members, with an equal number appointed by each of Lilly and Emisphere and with a central contact person appointed by each party. Each party hereto shall name one member to be a co-chairperson of the Steering Committee. Within thirty (30) days of execution of this agreement, the Steering Committee will meet to review and approve the initial HGH Work Plan (Exhibit C). On at least a quarterly basis, the Steering Committee shall meet, to review progress and approve modifications to the PTH Work Plan (Exhibit A), and review progress and changes to the HGH Work Plan (Exhibit C) as appropriate. The Steering Committee shall keep minutes of its meetings, shall act by a majority vote of its members and shall be responsible for the development and implementation of the PTH Work Plan. In the event the Steering Committee is unable to reach resolution on any issue, such issue shall be resolved in a timely manner in accordance with the procedures defined in this agreement. Finally, meetings of the Steering Committee will alternate between Emisphere's designated facility and Lilly's designated facility. Each party will bear all expenses associated with attendance of its own employees at such meetings held at the other party's designated facility. Work on the Steering Committee (including attendance of its meetings) by Emisphere employees shall be included in the Programs' work compensated by Lilly pursuant to Section 1.4 below. It is anticipated that almost all FTE's and subcontractors doing work under the HGH Work Plan will be provided by Emisphere.
Program Management. A. The Program under this Agreement will be limited to no fewer than 10 and no more than 20 Students. If fewer than 10 Students participate in this Program, the Parties shall mutually determine whether to cancel or proceed with this Program. Such determination shall not be unreasonably delayed by either Party.

1) Preparing class schedule for each course: EMSP 1501, EMSP 1391 and EMSP 1164;
2) Prepare lesson plans for courses under this Agreement and provide it to ▇▇▇▇▇▇ High School;
3) Responsible for creating, distributing and executing all quizzes and tests;
4) Grading and recording weekly grades in compliance with BHC and CFBISD policies for the following:
a. Quizzes and exams;
b. Current event papers;
c. Research papers, clinical case studies, ambulance case studies; and
d. Preparation and reporting of grades for the following increments: three-week, nine-week and semester grading periods.
5) Ensure, as reasonably practicable, that all facilities and equipment used under this Agreement are consistent with standards established by BHC EMSP Department. The BHC-EMS ▇▇▇▇▇▇ High School Campus Coordinator shall maintain all equipment and order all supplies needed for courses. CFBISD shall pay for all required equipment and supplies;
6) Schedule Students at each of the hospitals, clinical sites and City Fire Departments;
7) Take class attendance and verify attendance with CFBISD;
8) Complete and submit all paperwork needed for TXDSHS and NREMT;
9) Schedule guest speakers and other EMS related activities. 10)Coordinating the instruction for the delivery of the EMT Basic Program including:
a. Daily classes;
b. Skills classes;
c. Clinical sites during school hours;
d. Clinical sites for evenings and weekends; and
e. Ambulance internships for fall and spring.
Program Management. All revenues from sales of employee parking permits will be dedicated to, and may be reinvested in:
a. Measures that support alternative transportation (e.g., transit subsidy);
b. Maintaining and operating the employee portion of College parking facilities (dedicated employee spaces divided by total parking spaces); and/or
c. College sustainability measures.

The contract deliverables list identifies all contract deliverables and reporting requirements for this contract.

f. [* * *], will be responsible for financial management and reporting on all activities conducted by Regeneron and any subcontractors.
g. A [* * *], will be responsible for facilitating the development of integrated CMC plans and for monitoring and tracking the progress of the CMC milestones.
h. A [* * *], will be responsible for management of batch disposition, oversight of discrepancy investigations, and to ensure all released product conforms to GMP standards.
i. A [* * *], will be responsible for analytical method development, method transfer and specification development.

A [* * *], will be responsible for ensuring Regeneron quality, preclinical, and clinical drug development programs are conducted in compliance with regulations governing pharmaceutical drug development, and with project specific regulatory commitments/requirements, and will serve as the liaison for communications with the US Food and Drug Administration.
k. Regeneron shall provide Quarterly Progress Reports, which shall include a description of the activities during the reporting period and the activities planned for the ensuing reporting period.
