Project Site and Customers. Seller shall execute all necessary forms, documentation, and agreements as necessary to secure all Sites and/or Customers necessary to deliver Distribution Services to Buyer from the Project. The terms and conditions of the agreements Seller executes for each Site, and with each Customer, as applicable, are independent of Buyer, and Buyer shall not have any responsibility or incur any liability pursuant to such agreements. By the Initial Delivery Date, Seller shall provide Buyer a list identifying all Sites and Customers composing the Project in the form set forth in Appendix III (“Project Site/Project Customer List”). For each Site and each Customer, as applicable, that compose the Project, Seller must demonstrate that such Site or Customer (i) satisfies the criteria of Incrementality as set forth in Appendix III, and (ii) meets the measurement and verification requirements applicable to such Site or Customer in accordance with Section 5.2, and therefore is eligible to deliver Distribution Services hereunder. Seller to verify to Buyer which Seller-selected Sites and/or Customers, as applicable, are eligible to deliver Distribution Services hereunder in accordance with this Section 4.4(b) prior to the Initial Delivery Date (“Verified Customers”). At any time during the Delivery Term, Seller may remove, replace, or add any Distributed Resources that compose the Project, provided that (i) any such change shall not modify the Distribution Services or the ability of the Project to provide Product at the Contract Capacity, (ii) any new Distributed Resources to be added to the Project are interconnected to distribution system at the locations specified by Seller pursuant to the requirements of Appendix III and in accordance with the requirements of Article Four, and (iii) any such change shall be made in accordance with this Section 4.4(c) and Article Eleven of this Agreement. No less than 15 days prior to a Delivery Month, Seller will provide Buyer an updated Site/Customer List if any Sites or Customers comprising the Project will change during such Delivery Month. For each new Site or Customer on the updated Site/Customer List, Seller must demonstrate that such Site or Customer is eligible to deliver Distribution Services hereunder in accordance with Section 4.4(b).   • Suppliers and Customers (a) The Company has adequate sources of supply for its business as currently conducted and as proposed to be conducted. The Company has good relationships with all of its material sources of supply of goods and services and does not anticipate any material problem with any such material sources of supply. (b) The Company has no knowledge that the customer base of the Company might materially decrease.

  • Customer Equipment “Customer Equipment” means any Customer-owned or provided software, hardware or services that you elect to use in connection with the Service(s). You agree to allow us and our agents the rights to insert CableCARDs and other hardware in the Customer Equipment, send software and/or downloads to the Customer Equipment and install, configure, maintain, inspect and upgrade the Customer Equipment. You warrant you are either the owner of the Customer Equipment or that you have the authority to give us access to the Customer Equipment. You should call Customer Service at ▇-▇▇▇-▇▇▇-▇▇▇▇ to find out if it meets our technical, security and other requirements. We reserve the right to disallow the use of Customer Equipment that we determine is not compatible with our network. We shall have no obligation to provide, maintain, or service Customer Equipment, including, but not limited to, Customer Equipment to which the Company or a third party has sent software or downloads. If you use Customer Equipment, you agree that the following limitation of liability shall apply: THE COMPANY DOES NOT WARRANT THAT CUSTOMER EQUIPMENT WILL ENABLE YOU TO SUCCESSFULLY INSTALL, ACCESS, OPERATE, OR USE THE SERVICE(S). YOU ACKNOWLEDGE THAT ANY SUCH INSTALLATION, ACCESS, OPERATION, OR USE COULD CAUSE CUSTOMER EQUIPMENT TO FAIL TO OPERATE OR COULD CAUSE DAMAGE TO CUSTOMER EQUIPMENT, YOU, YOUR PREMISES OR COMPANY EQUIPMENT. NEITHER THE COMPANY NOR ANY OF ITS AFFILIATES, SUPPLIERS OR AGENTS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY SUCH FAILURE OR DAMAGE, INCLUDING LACK OF 911/E911 CAPABILITY OR DIALING ASSOCIATED WITH A SECURITY SYSTEM. YOUR USE OF CUSTOMER EQUIPMENT MAY PREVENT PROVISION OF SERVICE. The foregoing limitation of liability is in addition to and shall not limit any other limitation of liability set forth in this Agreement.

  • Third Party Sites The Platform may provide links to third-party web sites. Third parties and third party web sites may have different privacy policies, terms and conditions and business practices than we do. Your dealings or communications with any party other than the Company are solely between you and that third party. Reference on the Site to any product, process, publication or service of any third party by trade name, domain name, trademark, trade identity, service ▇▇▇▇, logo, and manufacturer or otherwise does not constitute or imply its endorsement or recommendation by the Company.

  • Contact with Customers and Suppliers Until the Closing Date, the Buyer shall not, and shall cause its Affiliates and direct its other Representatives not to, contact or communicate with the employees, customers, suppliers, distributors or licensors of the Acquired Entities, or any other Persons having a business relationship with the Acquired Entities, concerning the transactions contemplated hereby or any of the foregoing relationships without the prior written consent of the Seller.

  • Solicitations for Subcontractors, Including Procurements of Materials and Equipment In all solicitations either by competitive bidding or negotiation made by the contractor for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the contractor of the contractor's obligations under this contract and the Regulations relative to nondiscrimination on the grounds of race, color, or national origin, sex, age, and disability/handicap.
