Proof of Notice Clause Samples
The Proof of Notice clause establishes the requirement for a party to demonstrate that they have properly delivered any formal notifications required under the agreement. Typically, this clause outlines acceptable methods of delivery—such as registered mail, email, or personal delivery—and may specify what constitutes sufficient evidence, like a delivery receipt or confirmation of transmission. Its core function is to prevent disputes by ensuring that all parties have clear, verifiable records of when and how notices were sent and received, thereby supporting transparency and accountability in contractual communications.
Proof of Notice. We may mail or deliver any notice to the named insured. Proof of mailing, as required or accepted by the United States Postal Service, of any notice or delivery in person will be sufficient proof of notice.
Proof of Notice. No later than ten (10) calendar days before the Fairness Hearing, TCP and the Claims Administrator will serve upon Class Counsel a declaration confirming that notice to the Class has been provided in accordance with Section 3.3 of this Settlement Agreement.
Proof of Notice. No later than ten (10) calendar days after the Objection, Opt- Out, and Claim Deadline, Facebook must serve a declaration on Class Counsel confirming that the Settlement Administrator and/or Facebook (or a third-party vendor retained by either) provided the Class with notice of the proposed Settlement in accordance with Section 3.3.

No later than seven (7) calendar days before the deadline for Plaintiff to file her brief in support of the Final Order and Judgment, the Settlement Administrator will serve upon Class Counsel and Grande a declaration confirming that notice to the Settlement Class has been provided in accordance with Section 5 of this Agreement. Such Proof of Notice will include, inter alia, the number of Mailed Notices sent, as well as the number of Mailed Notices that were undeliverable, the number of Emailed Notices sent, as well as the Emailed Notices that were undeliverable, the number of Settlement Class Members who submitted valid claims as of the date of the declaration, the number and names of the Settlement Class Members who opted out, and the number of Settlement Class Members who objected to or commented on the Settlement.

No later than ten (10) calendar days before the deadline for Plaintiffs to file their brief in support of the Final Order and Judgment, the Claims Administrator will serve upon Class Counsel a declaration confirming that notice to the Class has been provided in accordance with Section 3.3 of this Agreement.
Proof of Notice. No later than thirty (30) calendar days before the deadline for Plaintiffs to file their brief in support of the Final Order and Judgment, the Settlement Administrator will serve upon Class Counsel a declaration confirming that notice to the Settlement Class has been provided in accordance with this Agreement and shall identify the total number of Settlement Class Members that have not opted out and the total number of Gift Cards that will be distributed to Settlement Class Members taking into account the fact that certain Class Members may receive more than one Gift Card. Class Counsel will file such declaration with the Court.
Proof of Notice. Plaintiff shall file with the Motion for Final Approval, or at such other time required by the Court, a declaration from the Settlement Administrator confirming that notice has been provided to the Class in accordance with Paragraph 40.
Proof of Notice. No later than 15 calendar days before the Fairness Hearing, or at such other time required by the Court, Defendant shall file or cause to be filed with the Court and serve upon Plaintiffs’ Counsel a declaration confirming that the Class Notice has been provided in accordance with Section 3.2 of this Agreement.

No later than seven (7) calendar days before the filing date for Plaintiffs’ motion in support of the Final Order and Judgment, Defendants must send by email a declaration from the Claims Administrator to Class Counsel confirming that Defendants, through the Claims Administrator, provided the Class with notice of the proposed Settlement in accordance with Section 3.3 of this Settlement Agreement.
