PROPRIETARY ASSET Sample Clauses

PROPRIETARY ASSET. Proprietary Asset" shall mean any: (a) patent, patent application, trademark (whether registered or unregistered), trademark application, trade name, fictitious business name, service ▇▇▇▇ (whether registered or unregistered), service ▇▇▇▇ application, copyright (whether registered or unregistered), copyright application, maskwork, maskwork application, trade secret, know-how, customer list, franchise, system, computer software, computer program, source code, algorithm, invention, design, blueprint, engineering drawing, proprietary product, technology, proprietary right or other intellectual property right or intangible asset; or (b) right to use or exploit any of the foregoing.

PROPRIETARY ASSET. Proprietary Asset" shall mean any patent, patent application, trademark (whether registered or unregistered and whether or not relating to a published work), trademark application, trade name, fictitious business name, service mark (▇▇ether registered or unregistered), service mark ▇▇▇lication, copyright (whether registered or unregistered), copyright application, maskwork, maskwork application, trade secret, know how, franchise, system, computer software, invention, design, blueprint, proprietary product, technology, proprietary right or other intellectual property right or intangible asset. RELATED PARTY. Each of the following shall be deemed to be a "Related Party":

PROPRIETARY ASSET. “Proprietary Asset” shall mean any (a) patent, patent application, copyright (whether registered or unregistered and whether or not relating to a published work), trademark application, trade name, fictitious business name, service ▇▇▇▇ (whether registered or unregistered), trademark service ▇▇▇▇ application, trade secret, know-how, franchise, system, computer software, invention, design, blueprint, proprietary product, technology, proprietary right or other intellectual property right or intangible asset; or (b) right to use or exploit any of the foregoing. Proprietary Assets of Seller includes rights licensed to the Seller from a Third Party only if and to the extent that the Seller has the right to sublicense such rights to the Purchaser.

PROPRIETARY ASSET. Proprietary Asset" shall mean any patent, patent, application, trademark (whether registered or unregistered and whether or not relating to a published work), trademark application, trade name, fictitious business name, service ▇▇▇▇ (whether registered or unregistered), service ▇▇▇▇ application, copyright (whether registered or unregistered), copyright application, goodwill, maskwork, maskwork application, trade secret, know-how, franchise, system, computer software, invention, design, blueprint, proprietary product, technology, proprietary right or other intellectual properly right or intangible asset including any route authority.

PROPRIETARY ASSET. “Proprietary Asset” shall mean any patent, patent application, supplementary protection certificate, patent reissue, reexaminations, extension, trademark (whether registered or unregistered and whether or not relating to a published work), trademark application, trade name, fictitious business name, service ▇▇▇▇ (whether registered or unregistered), service ▇▇▇▇ application, copyright (whether registered or unregistered), copyright application, maskwork, maskwork application, trade secret, know-how, customer list, franchise, system, computer software, invention (whether patentable or unpatentable and whether or not reduced to practice), biological material, design, blueprint, engineering drawing, technical information, research data, research raw data, laboratory notebook, procedure, proprietary product, technology, proprietary right or other intellectual property right or intangible asset.

PROPRIETARY ASSET. “Proprietary Asset” shall mean any patent, patent application, trademark (including any service ▇▇▇▇, certification ▇▇▇▇, collective ▇▇▇▇, logo, trade dress, domain name, trade name, fictitious business name and other source or business identifier) (whether registered or unregistered), together with all of the goodwill of the business associated with each of the foregoing and any application for registration of any of the foregoing, copyright (whether registered or unregistered), application to register any copyright, trade secret, confidential information, know-how, customer list, database, Software or other proprietary right or intellectual property.

PROPRIETARY ASSET. Homa S.C. Proprietary Asset" shall mean any Proprietary Asset owned by or licensed to Homa S.C. or otherwise used by Homa S.C..

PROPRIETARY INFORMATION, NON-DISCLOSURE AND NON-SOLICITATION AGREEMENT. "Proprietary Information, Non-Disclosure and Non-Solicitation Agreement" shall mean the agreement in the form of EXHIBIT D-2.
