Protest and Trespass. ‌ (a) Except as otherwise provided in this Project Agreement, Contracting Authority shall not be responsible for the presence of persons participating in a Protest Action (“Protesters”) or any other persons otherwise not entitled to be on or around the Site or the Lands (“Trespassers”). For greater certainty, the presence of, or interference by, any Protesters or Trespassers on or around the Site or the Lands shall not be a breach of the obligation of Contracting Authority to grant licence rights of use and access to Project Co on and over the Lands pursuant to Section 16 nor a breach of any other obligation, representation or warranty under this Project Agreement. (b) The management of any Protesters or Trespassers shall be the responsibility of Project Co prior to Substantial Completion and of Contracting Authority following Substantial Completion in respect of the Site and/or the Lands (including Existing Expansion‌ Infrastructure on the Site) and New Expansion Infrastructure, to the extent such management is not otherwise the responsibility of the Police Service . (c) If at any time prior to Substantial Completion, Protesters or Trespassers occupy the Site, Lands or infrastructure referred to in Section 11.13(b), or access to such Site, Lands or infrastructure is prevented or interfered with by Protesters or Trespassers, Project Co shall use all appropriate measures reasonable in the circumstances to manage such Protesters or Trespassers and promptly notify the Contracting Authority Representative of such occurrence and of the action which Project Co proposes to take in respect thereof. Project Co may exercise any legal remedy available to it to remove Protesters or Trespassers from the Site, Lands or infrastructure referred to in Section 11.13(b), provided that if Project Co does elect to exercise any such legal remedy, Project Co shall give the Contracting Authority Representative at least 24 hours’ Notice prior to commencing any such legal proceeding (except in a case of Emergency, danger to persons or material destruction or material damage to property where, in such circumstances, such Notice may be given to Contracting Authority less than 24 hours prior to the commencement of such legal proceeding) and shall continually update the Contracting Authority Representative as to the status of any such legal proceeding in reasonable detail and at reasonable intervals, and provided further that:‌ (i) Project Co shall not give directly or indirectly to any ...

Protest and Trespass. ‌ The NOPs shall be responsible for the management of protesters and trespassers at the Site, to the extent such management is not the responsibility of the Police Services.

  • Trespass PURCHASER shall be exclusively responsible for any damage or removal of non- designated timber, or trespass beyond the boundaries of the areas of operations resulting from any activities of PURCHASER. Any trespass resulting from the activities of PURCHASER may be considered grounds for placing the contract in violation or default. Damages for any trespass shall be charged as follows: (a) Treble the contract value, as defined in Section 44, "Log Prices," for each species involved in the trespass, if PURCHASER's action is willful or intentional; or (b) Double the contract value, as defined in Section 44, "Log Prices," for each species involved in the trespass, if PURCHASER's action is not willful or intentional. As used in this section, the term "willful" or "intentional" includes, but is not limited to: any voluntary or deliberate activity by the PURCHASER, its employees, contractors, subcontractors, or agents which results in the removal or damage to any timber not described under the section titled, "Designated Timber," including removal or damage arising from a mistake of law or fact concerning the designated timber.

  • Lessor's Lien To the fullest extent permitted by applicable law, Lessor is granted a lien and security interest on all Lessee’s personal property now or hereinafter placed in or upon the Leased Property, and such lien and security interest shall remain attached to such Lessee’s personal property until payment in full of all Rent and satisfaction of all of Lessee’s obligations hereunder; provided, however, Lessor shall subordinate its lien and security interest to that of any non-Affiliate of Lessee which finances such Lessee’s personal property or any non-Affiliate conditional seller of such Lessee’s personal property, the terms and conditions of such subordination to be satisfactory to Lessor in the exercise of reasonable discretion. Lessee shall, upon the request of Lessor, execute such financing statements or other documents or instruments reasonably requested by Lessor to perfect the lien and security interests herein granted. Lessee hereby authorizes Lessor to execute and file financing statements signed only be a representative of Lessor covering the security interest of Lessor in Lessee’s personal property.

  • Defects If either party become aware of 5.4.1 any possible, actual or potential defect, containment, fault or other condition in Milk supplied under this Agreement; 5.4.2 any matter that may impact upon compliance with any health standard, public policy or code; 5.4.3 any matter which may affect compliance with any law or regulatory health standard; that party must, as soon as possible, advise the other party of the particulars of any such issue. The parties must cooperate, to the fullest extent possible, to diminish any risk to the public arising from a defect in Milk.

  • FALSE CLAIMS Contractor warrants that it shall not, with respect to this Contract, make or present any claim upon or against the Government of the Virgin Islands, or any officer, department, board, commission, or other agency thereof, knowing such claim to be false, fictitious or fraudulent. Contractor acknowledges that making such a false, fictitious, or fraudulent claim is an offense under Virgin Islands law.
