Provision of Technical Services. Technical Services (if any) will be provided as set forth in each applicable SOW, subject to the terms and conditions of these Access Terms.

Provision of Technical Services. Snowflake will perform the Technical Services for Customer as set forth in each applicable Statement of Work, subject to the terms and conditions of the Agreement. The Snowflake personnel that Snowflake assign to perform the Technical Services will be professional and qualified in the performance of the applicable Technical Services. If Customer, in its reasonable judgement, believes that Snowflake personnel assigned to a project do not meet the requirements in this Section, Snowflake will in good faith discuss alternatives and will replace Snowflake personnel as reasonably necessary. Where expressly stated in an SOW, Snowflake will not remove Personnel expressly named in the SOW without the prior written permission of Customer.

Provision of Technical Services. Snowflake will perform the Technical Services for Customer as set forth in each applicable SOW, subject to the terms and conditions of this Agreement.

Provision of Technical Services. 4.1 Party A will provide Party B with the technical and consulting services described in Schedule A attached hereto (the “Technical Services”) in accordance with the terms of this Agreement.

Provision of Technical Services. (a) EKI agrees to provide to the Company during the term of this Agreement such technical assistance relating to the Technology, and the Company's and its sublicensees' use thereof, as the Company may request, including consultation, design formulation, product development, and research related to compositions capable of use in Food Service Disposables, methods of using compositions as Food Service Disposables, and methods of manufacturing Food Service Disposables (collectively, the "Technical Services"). The Technical Services will be provided at such locations as the Company may from time to time designate; provided, however, that EKI shall be entitled to travel, meal and lodging expense reimbursement pursuant to Section 1.3 hereof with respect to EKI technical and scientific personnel who are required to render Technical Services at locations that require an overnight stay or that are otherwise sufficiently distant from the personnel's home base to warrant expense reimbursement under the Company's guidelines. The Technical Services shall be provided by such EKI employees, advisors and consultants as the Company shall request, provided that if the Company does not request the services of any specific EKI employees, advisors or consultants, EKI shall use its good faith judgment to efficiently assign its personnel to complete such Technical Services. (b) As long as this Agreement is in force, EKI shall provide the Technical Services to the Company on a priority basis. EKI shall dedicate its technical and scientific personnel as necessary to satisfy all requests by the Company for Technical Services when and as reasonably requested, and shall utilize such personnel for activities not related to Technical Services requested by the Company only to the extent that it may do so without compromising the timely delivery of all Technical Services reasonably requested by the Company. Notwithstanding any provision of this agreement to the contrary, if EKI's current number of technical and scientific personnel (approximately 22 in number) are devoting substantially all of their regular working hours to Company projects, EKI shall not be obligated to employ additional technical and scientific personnel, nor shall it be required to have its personnel work overtime hours. Provision of Technical Services. At the request of the Company from time to time, Gulf shall provide Technical Services to the Company, subject to the general direction and supervision of the Company. Technical Services shall mean the following: (a) engineering, supervisory and related services, including field services; (b) geological, geophysical and related services; (c) legal, financial, and other services related to project financing and other commercial agreements; (d) on-the-job training in Canada or other mutually acceptable locations for engineering, operations, geological, geophysical, accounting, financial and other personnel required to conduct the Business; and (e) such other services of a technical nature as the Company may request of Gulf from time to time. Any request for Technical Services shall specify in reasonable detail the service or work Gulf is to supply, the date or dates on which the Company desires such service to be supplied or such work to be completed and such other information as the Company deems relevant. Gulf may request clarification as to any matter contained in such request, provided that Gulf does so in a prompt and timely manner. If Gulf is unable to provide the Company with the requested Technical Services in a timely fashion within the fees set forth in Section 4.3 or at all, then the Company shall be free to obtain such services from third parties. The Company may in any event conduct Technical Services in-house. Notwithstanding anything to the contrary set forth herein, the Company may use third-party Technical Service providers to the extent required by Indonesian law, regulations or custom, or to effect cost recovery, free of any restriction contained herein.

Provision of Technical Services. Subject to the terms and conditions of this Agreement and in accordance with the standards of performance set forth in Section 2.02, Priceline shall provide to WebHouse the Shared Technology Infrastructure Services specified in Schedule 1 hereto (the "Shared Technology Infrastructure Services") during the Term. During the Term, the Parties agree to share certain hardware and software systems and cooperate regarding the purchase of other hardware and software systems in connection with the provision of Shared Technology Infrastructure Services by Priceline to WebHouse.
