Purpose of Amendment. The Company and you desire to amend the Agreement to modify various covenants in and add certain definitions to the Agreement.

Purpose of Amendment. You and the Company acknowledge and agree that this Letter Agreement is being entered into in contemplation of the impending demerger of the hotels and retail businesses of the Company contemplated in the Company’s announcement of 1 October 2002 (the “Separation”).

Purpose of Amendment. This Amendment shall constitute the second amendment to the Original Agreement between City and Contractor which was duly executed on the 7th day of March 2017 for contractor to provide professional preventive maintenance and service on facility Standby Power equipment owned by the City of Laramie. In consideration of the matters described above, and of the mutual benefits and obligations set forth in this Contract, the parties agree as follows:
