Business items without license management: production and sale of motor vehicles under the Qoros-brand; vehicle development and testing; technical services and technology trade; wholesale and import/export of parts and accessories for vehicles, special tools, lubricant oil, chemicals, vehicle decorations, electronic product accessories, clothing and daily use articles (not involving commodities subject to State-run trade administration, for commodities subject to quota and licensing, the Government regulation application process shall apply); motor vehicles after-sales services, technical services and business consulting service; software development and sales, and technical services, data processing and storage service. 4.3 The JV Company’s production scale is expected, in Phase One, to reach no less than 150,000 Motor Vehicles per annum. In accordance with relevant market and sales conditions, such scale may be gradually expanded. 4.4 If the JV Company proposes to establish a new subsidiary or branch office, for the purpose of the industrial development of the JV Company, the Parties agree that Wuhu, Anhui Province, shall be given priority consideration when establishing such new subsidiary or branch. The Parties shall use best endeavors to provide cooperation with the JV Company on its conduct of feasibility study as soon as possible on the establishment of Wuhu subsidiary or branch office, and further discuss with the government authority about the investment plan so that Wuhu subsidiary or branch office will be established as soon as possible.
