Quotation Subject Matter. 2.1 Sellers are invited for the supply of Surgical Stapler for Endoscopic Surgery under the NPS, the product types and categories required by the Authority are set out in Schedule A. Sellers are invited to offer their Goods which rightly match with the required product types and categories, by completing all details and prices in Schedule A and the Schedule of Compliance in Schedule B. Seller should note that any Goods quoted in Schedule A must have been consumed by HA/Hospital(s) (or equivalent in Hong Kong or elsewhere) within 18 months immediately preceding the Closing Date. Seller must complete the consumption details for each of the Goods it proposes to supply in Schedule A. The Authority shall have absolute discretion to determine what experience or consumption is “equivalent” in the circumstances. 2.2 Any Goods to be supplied by the Seller must meet the following product standards and requirements: (a) the Goods offered must comply with the standard of British Standard Institution (BSI) of general requirements for Sphincterotome, Stent Introducer and Cannulation Catheter or equivalent standard of International Organization for Standardization (ISO). Sellers must indicate the specific BSI or ISO standard applicable to each offered products in Schedule A, and confirm compliance with the applicable standards. Upon request, Sellers are required to provide to the Authority documentary evidence showing compliance with the relevant standards; (b) the Seller must, for each of the Goods quoted in Schedule A, submit with its Standing Quotation copies of 2 sets (each set in separate file) of the following: (i) certified true copy of manufacturer license issued by the Government or Health Authority of the country of origin; (ii) certified true copy of the authorized certification of compliance to ISO 13485 (latest version), Food and Drug Administration (FDA)/ Product’s compliance with European Commission legislation (CE)//BSI or other equivalent international standards in production and quality-management system; (iii) certified true copy of certifying compliance with FDA 510(K)/CE or other equivalent international standards for listing of each offered product in Schedule A. 2.3 If a Seller is not the manufacturer of the Goods offered in Schedule A, the Seller must submit with its Standing Quotation a written undertaking issued by the manufacturer of the Goods evidencing the manufacturer’s agreement to supply such Goods to the Seller should the Seller’s Standin...

  • SUBJECT MATTER OF THE CONTRACT 1. The Landlord undertakes to provide the Accommodated Person with temporary accommodation (one bed) in a furnished single/double/triple room No.███████ in the SH _Mladá garda - Račianska 103, 831 012 Bratislava 35 in the academic year 2020/2021, for the period of 21.09.2020 until the day of the end of the examination time (inclusive) in accordance with the binding time schedule for the academic year 2020/2021 as announced by the ▇▇▇▇▇▇, unless the situation under Article III Paragraph 2 hereof occurs, due to which the accommodation may be terminated earlier. If the Accommodated Person is a doctoral student of the STU, the accommodation shall be provided to him/her until the end of the academic year 2020/2021. 2. If the Accommodated Person shall perform the professional practice determined by the study programme after the end of the examination time under Paragraph 1 of this Article, he/she shall also be entitled to accommodation during the holidays in compliance with the time schedule of the academic year, as defined in Paragraph 1 of this Article, for the necessary period of the professional practice.

  • Patent Matters 4.1 Licensor shall have the right, but not the obligation, to prosecute and maintain all Patents to be issued pertaining to the Patent applications licensed in Exhibit A at its cost and expense. Licensor shall keep licensee reasonably apprised of all relevant actions regarding the status of such patents. 4.2 Each Party shall notify the other Party of any infringement of any intellectual property rights with regard to the License IP or a Licensed Product by a third party in the Field which becomes known to such Party, and of any claim of infringement by a third party that the activities of a Party infringe patent rights of such third party. Licensor shall have has sole responsibility and control of legal action relating to claims of infringement with respect to the Licensed Technology. 4.3 Licensor shall have the first right, but not an obligation, to initiate, maintain and control, at Licensor’s expense, legal action against any infringement of intellectual property rights relating to the Licensed Technology by a third party in the Field. 4.4 In any suit, proceeding or dispute involving infringement of any intellectual property rights relating to the License IP in the Field, the Parties shall provide each other with reasonable cooperation shall make available to each other , at reasonable times and under appropriate conditions, all relevant personnel, records, papers, information, samples, specimens, and the like in its possession.

  • Securities Act Matters The Holder represents and warrants to the Company as of the date hereof that: (a) The Holder is acquiring this Warrant for its own account, without a view to, or sale in connection with, the distribution thereof. The Holder has no present agreement, undertaking, arrangement, commitment or obligation providing for the disposition of the Warrant or the Warrant Shares, all without prejudice, however, to the right of the Holder at any time, in accordance with this Warrant, lawfully to sell or otherwise to dispose of all or any part of the Warrant or Warrant Shares held by it; (b) The Holder is an “accredited investor” within the meaning of Regulation D under the Securities Act. The Holder has not retained, utilized or been represented by any broker or finder in connection with the transactions contemplated by this Warrant; (c) The Holder acknowledges that, subject to the Registration Rights Agreement and the DSW Registration Rights Agreement (A) the Warrants and the Warrant Shares have not been registered under the Securities Act, in reliance on the non-public offering exemption contained in Section 4(2) of the Securities Act and Regulation D thereunder; (B) because the Warrants and the Warrant Shares are not so registered, the Holder must bear the economic risk of holding this Warrant and the Warrant Shares for an indefinite period of time unless the Warrants and the Warrant Shares are subsequently registered under the Securities Act or an exemption from such registration is available with respect thereto; (C) Rule 144 under the Securities Act may or may not be available for resales of the Warrants or the Warrant Shares in the future and, if so, may only be available for sales in limited amounts; (D) there is presently no trading market for the Warrants and there is no assurance that such market will exist in the future; and (E) while there is presently a trading market for the Warrant Shares, there is no assurance that such market will be in existence in the future; and (d) If the Holder decides to dispose of this Warrant or the Warrant Shares, which it does not now contemplate, the Holder can do so only in accordance and in compliance with the Securities Act and Rule 144 or another exemption from the registration requirements of the Securities Act, as then in effect or through an effective registration statement under the Securities Act.

  • SUBJECT MATTER OF THE AGREEMENT 1.1 The institution shall provide support to the participant for undertaking a mobility activity for [teaching/ training/ teaching and training] under the Erasmus+ Programme. 1.2 The participant accepts the financial support or the provision of services as specified in article 3 and undertakes to carry out the mobility activity for [teaching/ training/ teaching and training] as described in Annex I.
