R ecords Sample Clauses
The 'Records' clause establishes the requirements for maintaining, storing, and providing access to documents and data relevant to the agreement. Typically, it obligates one or both parties to keep accurate and complete records of transactions, performance, or compliance for a specified period, and may grant the other party the right to inspect or audit these records upon request. This clause ensures transparency and accountability, helping to resolve disputes and verify compliance with contractual obligations.
R ecords. The City and the Trustee retain the following records with the Certificate documents until three years after the last outstanding Certificate is redeemed:
(A) A copy of the Guaranteed Investment Contract.
(B) The receipt or other record of the amount actually paid for the Guaranteed Investment Contract, including a record of any administrative costs paid by the City or the Trustee, and the certification as to fees paid, described in paragraph (d)(4) above.
(C) For each bid that is submitted, the name of the person and entity submitting the bid, the time and date of the bid, and the bid results.
(D) The bid solicitation form and, if the terms of Guaranteed Investment Contract deviated from the bid solicitation form or a submitted bid is modified, a brief statement explaining the deviation and stating the purpose for the deviation.
R ecords. Physician shall keep such books and records as shall be necessary to properly perform the services required by this Agreement and enable the Contract Officer to evaluate the performance of such services. The Contract Officer shall have full and free access to such books and records at all reasonable times, including the right to inspect, copy, audit, and make records and transcripts from such records. COUNTY shall own and have the rights to control all reports, records, including medical records, and supporting documents generated pursuant to this Agreement. To the extent permitted by law, COUNTY shall be entitled to access all documents, reports, medical records, and supporting documents reasonably necessary to fulfill its duties hereunder.
R ecords. Records of Contractor’s costs, reimbursable expenses pertaining to the Project and payments shall be available to Owner or its authorized representative during business hours and shall be retained for four (4) years after final Payment or abandonment of the Project, unless Owner otherwise instructs Contractor in writing.
R ecords. The Local Jurisdiction will maintain accurate records of all documents relating to this Agreement, all expenses incurred under this Agreement, and all services provided to the Local Jurisdiction for which reimbursement is made under Section 4.1.1. The Local Jurisdiction shall make the records and its administrative offices, personnel, consultants, or volunteers who are involved in the implementation of this Agreement available to representatives of the U.S. Treasury or DHCD upon request. All such records shall be maintained for a period of five (5) years after funding is provided by DHCD, or for any applicable period of limitations under federal law, whichever is longer. In cases where unresolved audit questions may require retention of some or all of said records for a longer period, the Local Jurisdiction will turn over all records that may be required to be retained beyond the five (5) year period identified herein to DHCD.
R ecords. Licensee shall maintain detailed and accurate records with respect to the ********************** to MSCI hereunder. During the term of the Agreement and for a period of three (3) years after its termination, Licensee shall, upon written request from MSCI, provide MSCI and/or an independent accounting organization chosen and compensated by MSCI with access to such records during normal business hours. If such audit reveals **********************, then Licensee shall also **********************.
R ecords. Licensee shall maintain detailed and accurate records with respect to the assets of the Funds and any of Licensee’s payment to MSCI hereunder. During the term of the Agreement and for a period of **** after its termination, Licensee, upon written request by MSCI, shall provide access to such records during normal business hours to MSCI and/or an independent accounting organization, chosen and compensated by MSCI. Licensee shall promptly pay any underreported license fees and all other amounts due hereunder determined by such audit ****, whichever is less, for the period of time during which such amount was owed and unpaid. If such audit reveals an underpayment in excess **** of the amount due hereunder, then Licensee shall also pay for the reasonable cost of such audit.
R ecords. Records of Contractor’s Project costs, reimbursable expenses, and payments shall be kept on a generally recognized accounting basis and made available to Owner or its authorized representative during business hours for audit or other purposes as determined by Owner. Such records shall be maintained by Contractor and shall be available to Owner or authorized representative for a period of at least five (5) years after the provision of Contractor’s Work. Financial records shall be kept on the basis of generally accepted accounting principles and in accordance with cost accounting standards promulgated by the Federal Office of Management and Budget Cost Accounting Standards Board and shall be available for audit by Owner or its authorized representative on reasonable notice.
R ecords. During the term of this Agreement and for three years after, Reseller will maintain at its primary place of business full, true, and accurate books of account (kept in accordance with generally accepted accounting principles) and records concerning all transactions and activities under this Agreement. Such books and records will include and record, without limitation, all data that Reseller is required to provide with respect to Wavelink Product and Support Services purchases (including End User contact information).
R ecords. Spin shall maintain all its books, documents and records relating to this Agreement for the preceding calendar year. The books, documents and records shall be made available to the City at Spin’s corporate office after Spin receives a written request therefor; provided, however, in the event such information is available in electronic form, then Spin shall provide such books, documents and records to the City electronically so that the employees of the City are not required to travel to Spin’s corporate office; provided, further, Spin shall not be required to disclose any documents or records which are subject to any federal, state and local laws, ordinances and regulations that may restrict disclosure of personal information.
R ecords. WCG shall maintain complete, true and correct records relating to all the Services performed under the SOW for as long as required by applicable law.
