You shall notify Schrödinger immediately of any actual or imminent unauthorized access to, or use or disclosure of, any of the foregoing. You recognize that the unauthorized use or disclosure of any of the foregoing will give rise to irreparable injury to Schrödinger and/or its licensors, affiliates and third party providers for which monetary damages may be an inadequate remedy; and You agree that Schrödinger or its licensors, affiliates or third party providers may seek and obtain injunctive relief against the breach or threatened breach of Your obligations hereunder, in addition to any other legal and equitable remedies which may be available. Your use of a Certification Badge is subject to the terms of this Agreement and you will use the Certification Badge and any other JumpCloud Marks provided to you in accordance with JumpCloud’s then-current trademark guidelines. You may not use or reproduce any Marks in any manner that interferes with or diminishes the rights of JumpCloud in the same or in JumpCloud’s reputation or goodwill in the Marks. You will not use a Certification Badge to engage in fraudulent conduct or to misrepresent yourself as having a Certification when you have not successfully earned that status or if your Certification has expired or has been terminated. You will not use the Marks in a way that may cause confusion about whether any products or services you offer are JumpCloud products or services or are performed on behalf of JumpCloud. 3.1. Modify or revise the Controller or any part thereof, or create derivative works thereof;
3.2. copy, distribute, display or perform publicly, sublicense, decompile, disassemble, reduce to human readable form, execute publicly, make available to the public, adapt, make commercial use, process, compile, translate, sell, lend, rent, reverse engineer, combine with other service, modify or create derivative works of the Software or any portion thereof, except and only to the extent that this limitation is expressly prohibited by applicable law notwithstanding this limitation;
3.3. Copy, rent, lease, sell, sublicense, assign, market or otherwise transfer any portion of the Software to any third party;
3.4. Remove, alter or cause not to be displayed, any trademarks, copyright notices, mask works notices, start-up messages or other proprietary or restrictive notice or legend affixed to, contained or included in the Controller;
3.5. Remove or attempt to remove or circumvent any security measures installed in the Controller;

Customer may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble or otherwise attempt to discover the source code of the Software or otherwise reduce the Software to a human-perceivable form or create derivative works based upon the Software. Customer shall not use the Software to develop any application having the same primary function as the Software.
R estrictions. Except for the limited license rights expressly granted in Section 2.1, RedSeal reserves all rights in and to the Software and Documentation. Except as expressly permitted herein, Licensee shall not (i) reproduce, modify, translate or create any derivative work of all or any portion of the Software or Documentation, (ii) sell, rent, lease, loan, provide, distribute or otherwise transfer all or any portion of the Software or Documentation to a third party, (iii) reverse engineer, reverse assemble or otherwise attempt to gain access to the source code of all or any portion of the Software (other than the Open Source Software) except to the extent expressly permitted by law, (iv) remove, alter, cover or obfuscate any copyright notices, trademark notices or other proprietary rights notices placed or embedded on or in the Products; (v) unbundle any components of the Software; (vi) exceed the number of Authorized Users having use of the Software; or (vii) cause or permit any third party to do any of the foregoing. In addition, Licensee shall not use the Products for the benefit of any third party, including but not limited to as an application service provider, for third-party training, or time-sharing or service bureau use. Notwithstanding the foregoing, Licensee may make a reasonable number of copies of the Software for backup purposes provided that such copies shall include all copyright and other intellectual property rights notices that appear on the original. If Licensee is a European Union (“EU”) resident, information necessary to achieve interoperability of the Software with other programs within the meaning of the EU Directive on the Legal Protection of Computer Programs is available from RedSeal upon written request.

All Affiliate activities must be professional, proper and in full compliance with applicable laws, including, without limitation, the Regulatory Rules and Data Protection Laws, and the Affiliate will be solely responsible for the content and manner of its activities. An Affiliate and its website, to the extent the Affiliate operates through a website, may not be engaged, directly or indirectly, in conduct that the Company, at its sole discretion, deems to be illegal, improper, unfair or otherwise adverse to the operation or reputation of any of the Site(s) or detrimental to other users of the Site(s), including without limitation, directly or indirectly: (a) operation of an illegal business, site or subscription email list; (b) engaging in any illegal activity of any type, including but not limited to displaying illegal content on the Affiliate's website or in the Affiliate's subscription emails or offering any illegal goods or services through the Affiliate's website or subscription emails; (c) operation of a website that contains or promotes content that is libelous, defamatory, obscene, abusive, violent, bigoted, hate oriented, illegal, pornographic, related to gambling, or link to a website that does so; (d) engaging in indiscriminate or unsolicited commercial advertising emails; (e) placing links to any of the Sites in Spam or Unsolicited Promotions, banner networks, counters, guest books, IRC channels or through similar Internet resources; (f) causing or enabling any transactions to be made that are not in good faith, including among others by means of any device, program, robot, hidden frames and redirects. The Company shall have the right, without prejudice and in addition to any other right or remedy available to it under this Agreement or applicable law, to render the Tracking URLs assigned to such Affiliate violating the restriction herein as inoperative, and immediately block the Affiliate's access to the Program, with no compensation to such Affiliate. Affiliate hereby irrevocably waives any claim or demand against the Group, its directors, officers, shareholders, employees or against the Site(s) in respect of such action taken by Company.
