The 'Receipt of Requests' clause defines when and how a request, such as a notice or demand, is considered officially received by the relevant party under the agreement. Typically, this clause outlines acceptable methods of delivery—such as email, courier, or registered mail—and may specify the exact time or date a request is deemed received, for example, upon actual delivery or after a set number of days. Its core practical function is to eliminate ambiguity regarding the timing and acknowledgment of communications, ensuring both parties have a clear understanding of when obligations or responses are triggered.
Receipt of Requests. All Customer ACH origination requests must be received by the Bank no later than 7:00 p.m. central time in order to be processed that business day. All origination requests received after 7:00 p.m. central time will be processed the next business day.
Receipt of Requests. Each Borrower may utilise the ▇▇▇▇ Facility under Tranche A or Tranche B if the Agent receives, not later than 10.00 a.m. on the Business Day before the proposed Utilisation Date, a duly completed Request.

(i) in the case of Swingline Advances in U.S. Dollars, the US Swingline Agent receives, not later than 11.00 a.m. (New York City time) on the proposed Utilisation Date;
(ii) in the case of Swingline Advances in Sterling or euros, the Agent receives, not later than 9.00 a.m. (London time) on the proposed Utilisation Date,

(a) A Borrower may borrow Advances under the Revolving Credit Facility (other than Swingline Advances) if the Agent receives, not later than 5.00 p.m. on the third Business Day before the proposed Drawdown Date, or, in the case of an Advance in Sterling, not later than 5.00 p.m. on the Business Day before the proposed Drawdown Date, a duly completed Request, copied, to the U.S. Swingline Agent.
(b) A Borrower may borrow Swingline Advances if the U.S. Swingline Agent receives, not later than noon (New York City time) on the proposed Drawdown Date, a duly completed Request, copied to the Agent.
Receipt of Requests. A Borrower may borrow Advances if the Agent receives, not later than 5.00 p.m. on the third Business Day before the proposed Utilisation Date, or, in the case of an Advance in Sterling, not later than 8.00 a.m. on the proposed Utilisation Date, a duly completed Request.
Receipt of Requests. (a) Any Borrower (other than the LC Borrower) may borrow Advances under the Facility if the Agent receives, not later than 11.00 a.m. three Business Days before the proposed Drawdown Date, a duly completed Request. Each Request is irrevocable.
(b) For the avoidance of doubt, the LC Borrower may not make a Request for any Advance under the Facility.
Receipt of Requests. (a) A Borrower may request a Letter of Credit to be issued by giving to the Facility Agent a duly completed Request.
(b) Unless the Facility Agent otherwise agrees, the latest time for receipt by the Facility Agent of a duly completed Request is 11.00 a.m. one Business Day before the proposed Utilisation Date.
(c) Each Request is irrevocable.
Receipt of Requests. The Company may borrow a Loan if the Agent receives a duly completed Request, not later than 12.00 noon one Business Day before the applicable Rate Fixing Day.
Receipt of Requests. (b) A Borrower may borrow Swingline Advances if the Euro Swingline Agent receives, not later than 9.30 a.m. (Central European time) on the proposed Drawdown Date, a duly completed Request, copied to the Agent.
Receipt of Requests. (a) A Borrower may utilise a Facility by way of a Loan if the Agent receives, not later than the relevant time, a duly completed Request.
(b) The Company may utilise Facility A by way of the Guarantee if the Agent receives, not later than the relevant time, a duly completed Request.
(c) The relevant time for: (i) a Loan to be made to finance purchases of Shares in the market is 4.00 p.m. on the Business Day before its Drawdown Date; (ii) any other Loan is 9.00 a.m. on the Business Day before its Drawdown Date; and (iii) the Guarantee is 9.00 a.m. on the Business Day before the Issue Date.
