Reissuance of Book-Entry Certificates as Definitive Certificates Clause Samples

The "Reissuance of Book-Entry Certificates as Definitive Certificates" clause establishes the process by which securities initially issued in electronic, book-entry form can be converted into physical, paper certificates. Typically, this clause outlines the circumstances under which holders may request such a conversion, such as if the electronic system becomes unavailable or if regulatory requirements change. Its core practical function is to provide flexibility and assurance to security holders by ensuring they can obtain tangible proof of ownership if needed, thereby addressing potential risks associated with exclusive reliance on electronic recordkeeping.
