Reporting of Net Sales. On a [***] basis, Merck will provide to Moderna an estimate of gross sales and Net Sales of such Collaboration Product in U.S. dollars during the prior [***] and units of such Collaboration Product sold during such period according to Merck’s sales reporting system, which will be consistent with the financial planning, accounting and reporting procedures set forth in this Exhibit D. Each such report will be provided as early as possible, but no later than [***] days after the last day of the [***] in question, and will separately provide [***] figures. The Parties understand that all Net Sales of Collaboration Products will be booked in accordance with GAAP and otherwise in accordance with the definition of Net Sales.

Reporting of Net Sales. After first Marketing Approval of the Collaboration Product in the Field in the Territory, and for the remainder of the Royalty Term, QLT shall submit to RGX, concurrently with the quarterly payments made pursuant to Section 5.3, written reports setting out for the calendar quarter, for each Collaboration Product, on a country-by-country basis (where reasonably feasible): (a) all amounts invoiced by QLT or its Affiliates or sublicensees, as applicable, from the sale of the Collaboration Product to Third Parties; (b) details of the quantities of the Collaboration Product sold in each country; (c) the amount of any deductions taken from the amounts received by QLT or its Affiliates or sublicensees, as applicable, from the sale of the Collaboration Product to Third Parties in calculating Net Sales of the Collaboration Product and their methods of calculation, and (d) the amount of Net Sales of the Collaboration Product; and (e) the amount due and payable pursuant to Section 5.3. In the event that RGX is required to pay to QLT a royalty pursuant to Section 11.4(a), RGX shall provide reports in the form and on the terms specified in this Section 5.10 in respect of sales of the Collaboration Products by RGX, its Affiliates or licensees/sublicensees.
Reporting of Net Sales. Within [REDACTED] of the end of each Calendar Quarter, I-Mab shall deliver to MorphoSys a report setting forth the following information for such Calendar Quarter, on a CD38 Product-by-CD38 Product, country-by-country and Territory-wide basis: (i) Net Sales of each CD38 Product and each underlying deduction made in accordance with Section 1.63, and (ii) the royalty due hereunder for the sale of each such CD38 Product. No such reports shall be due for any such CD38 Product (x) before the First Commercial Sale of such CD38 Product or (y) after the Royalty Term for such CD38 Product has expired in all countries in the Territory. The total royalty due for the sale of all such CD38 Products during such Calendar Quarter shall be transferred in accordance with Section 8.5.
Reporting of Net Sales. Licensee shall use: (a) its own point of sale registers which shall be interfaced with the Sears point of sale processing system to record the Net Sales generated by the sale of the Products and Services in Licensed Departments in Designated Stores. Sears shall provide Licensee with a daily change fund and all sales proceeds will be processed on a daily basis through the administrative services office in the Designated Stores. An account will be kept by Sears of all such Net Sales and Sears shall have the right to retain out of such Net Sales the Commission to be paid by Licensee to Sears, together with any and all other monies that may be due under this Agreement; and, (b) its own point of sale register and point of sale processing system to record the Net Sales generated by the sale of the Products and Services generated from locations or transactions generated outside of Licensed Departments in Designated Stores. In these circumstances Licensee shall provide its own daily change funds and shall process its own sales receipts on a daily basis through its own administrative processes and Licensee shall be solely responsible for such change funds and for all such sales receipts.
Reporting of Net Sales. Within [***] after the end of each Calendar Quarter in which a Royalty is required to be paid, the paying Party shall submit to the other Party a written report (each a "Royalty Report") setting forth for such Calendar Quarter the following information: (i) total Net Sales of all Products sold in the Licensed Territory during such Calendar Quarter, (ii) Net Sales on a country-by-country basis, (iii) the exchange rate used to convert Net Sales from the currency in which they are earned to United States dollars; and (iv) the total royalty payments due. Within [***] after the end of each Calendar Quarter in which a PORTIONS OF THIS EXHIBIT WERE OMITTED AND HAVE BEEN FILED SEPARATELY WITH THE SECRETARY OF THE COMMISSION PURSUANT TO THE COMPANY'S APPLICATION REQUESTING CONFIDENTIAL TREATMENT UNDER RULE 24B-2 OF THE EXCHANGE ACT. Royalty is required to be paid, the paying Party shall submit to the other Party an informal written report setting forth for such Calendar Quarter its unaudited estimate of the foregoing information.

  • Reporting of Sales to TIPS by Vendor The Participation Fee that was published as part of the Solicitation and the fee published is the legally effective fee, along with any fee conditions stated in the Solicitation. Collection of the fees by TIPS is required under Texas Government Code §791.011 Et seq. Fees are due on all TIPS purchases reported by either Vendor or Member. Fees are due to TIPS upon payment by the Member to the Vendor, Reseller or Vendor Assigned Dealer. Vendor, Reseller or Vendor Assigned Dealer agrees that the participation fee is due to TIPS for all Agreement sales immediately upon receipt of payment including partial payment, from the Member Entity and must be paid to TIPS at least on a monthly basis, specifically within 31 calendar days of receipt of payment, if not more frequently, or as otherwise agreed by TIPS in writing and signed by an authorized signatory of TIPS. Thus, when an awarded Vendor, Reseller or Vendor Assigned Dealer receives any amount of payment, even partial payment, for a TIPS sale, the legally effective fee for that amount is immediately due to TIPS from the Vendor and fees due to TIPS should be paid at least on a monthly basis, specifically within 31 calendar days of receipt of payment, if not more frequently. Vendor is required to report all sales under the TIPS contract to TIPS. When a public entity initiates a purchase with a TIPS Awarded Vendor, if the Member inquires verbally or in writing whether the Vendor holds a TIPS Contract, it is the duty of the Vendor to verify whether or not the Member is seeking a TIPS purchase. Once verified, the Vendor must include the TIPS Contract number on any communications and related sales documents exchanged with the TIPS Member entity. To report sales, the Vendor must login to the TIPS Vendor Portal online at ▇▇▇▇▇://▇▇▇.▇▇▇▇-▇▇▇.▇▇▇/vendors_form.cfm and click on the PO’s and Payments tab. Pages 3-7 of the Vendor Portal User Guide will walk you through the process of reporting sales to TIPS. The Vendor or vendor assigned dealers are responsible for keeping record of all sales that go through the TIPS Agreement and submitting same to TIPS. Failure to render the participation fee to TIPS shall constitute a breach of this agreement with our parent governmental entity, Texas Education Service Center Region 8, as established by the Texas legislature and shall be grounds for termination of this agreement and any other agreement held with TIPS and possible legal action. Any overpayment of participation fees to TIPS by a Vendor will be refunded to the Vendor within ninety (90) days of receipt of notification if TIPS receives written notification of the overpayment not later than the expiration of six (6) months from the date of overpayment and TIPS determines that the amount was not legally due to TIPS pursuant to this agreement and applicable law. It is the Vendor’s responsibility to identify which sales are TIPS Agreement sales and pay the correct participation fee due for TIPS Agreement sales. Any notification of overpayment received by TIPS after the expiration of six (6) months from the date of overpayment will be non-refundable. Region 8 ESC and TIPS reserve the right to extend the six (6) month deadline to notify if approved by the Region 8 ESC Board of Directors.   • Reporting of Compliance Matters (a) The Sub-Adviser shall promptly provide to the Trust’s Chief Compliance Officer (“CCO”) the following documents: (i) copies of all SEC examination correspondences, including correspondences regarding books and records examinations and “sweep” examinations, issued during the term of this Agreement, in which the SEC identified any concerns, issues or matters (such correspondences are commonly referred to as “deficiency letters”) relating to any aspect of the Sub-Adviser’s investment advisory business and the Sub-Adviser’s responses thereto; (ii) a report of any material violations of the Sub-Adviser’s Compliance Program or any “material compliance matters” (as such term is defined in Rule 38a-1 under the ▇▇▇▇ ▇▇▇) that have occurred with respect to the Sub-Adviser’s Compliance Program; (iii) a report of any material changes to the policies and procedures that compose the Sub-Adviser’s Compliance Program; (iv) a copy of the Sub-Adviser’s chief compliance officer’s report (or similar document(s) which serve the same purpose) regarding his or her annual review of the Sub-Adviser’s Compliance Program, as required by Rule 206(4)-7 under the Advisers Act; and (v) an annual (or more frequently as the Trust’s CCO may reasonably request) representation regarding the Sub-Adviser’s compliance with Paragraphs 7 and 8 of this Agreement. (b) The Sub-Adviser shall also provide the Trust’s CCO with: (i) reasonable access to the testing, analyses, reports and other documentation, or summaries thereof, that the Sub-Adviser’s chief compliance officer relies upon to monitor the effectiveness of the implementation of the Sub-Adviser’s Compliance Program; and (ii) reasonable access, during normal business hours, to the Sub-Adviser’s facilities for the purpose of conducting pre-arranged on-site compliance related due diligence meetings with personnel of the Sub-Adviser.

  • Research Use Reporting To assure adherence to NIH GDS Policy, the PI agrees to provide annual Progress Updates as part of the annual Project Renewal or Project Close-out processes, prior to the expiration of the one (1) year data access period. The PI who is seeking Renewal or Close-out of a project agree to complete the appropriate online forms and provide specific information such as how the data have been used, including publications or presentations that resulted from the use of the requested dataset(s), a summary of any plans for future research use (if the PI is seeking renewal), any violations of the terms of access described within this Agreement and the implemented remediation, and information on any downstream intellectual property generated from the data. The PI also may include general comments regarding suggestions for improving the data access process in general. Information provided in the progress updates helps NIH evaluate program activities and may be considered by the NIH GDS governance committees as part of NIH’s effort to provide ongoing stewardship of data sharing activities subject to the NIH GDS Policy.

  • Sales Reporting Requirements This is a requirement of the TIPS Contract and is non-negotiable. By submitting this proposal, Vendor certifies that Vendor will properly report all TIPS sales. With the exception of TIPS Automated Vendors, who have signed an exclusive agreement with TIPS regarding reporting, all TIPS Sales must be reported to TIPS by either: (1) Emailing the purchase order or similar purchase document (with Vendor’s Name, as known to TIPS, and the TIPS Contract Name and Number included) to TIPS at ▇▇▇▇▇▇@▇▇▇▇-▇▇▇.▇▇▇ with “Confirmation Only” in the subject line of the email within three business days of Vendor’s acceptance of the order, or; (2) Within 3 business days of the order being accepted by Vendor, Vendor must login to the TIPS Vendor Portal and successfully self-report all necessary sale information within the Vendor Portal and confirm that it shows up accurately on your current Vendor Portal statement. No other method of reporting is acceptable unless agreed to by the Parties in writing. Failure to report all sales pursuant to this provision may result in immediate cancellation of Vendor’s TIPS Contract(s) for cause at TIPS’ sole discretion.
