REPRESENTATIONS AND WARRANTIES OF NEWBRIDGE Sample Clauses

The "Representations and Warranties of Newbridge" clause sets out the specific statements of fact and assurances that Newbridge makes to the other party in the agreement. These may include confirmations about Newbridge’s legal authority to enter into the contract, the accuracy of its financial statements, or the absence of undisclosed liabilities. By providing these representations and warranties, the clause helps ensure transparency and allocates risk by allowing the other party to rely on Newbridge’s statements, forming a basis for potential remedies if any are found to be untrue.
