RIGHT TO USE THE PROGRAMS. Subject to Section 1.1 of this Agreement, the right to use the Manager's programming and to authorize its use in any manner in any media whatsoever shall be, and remain, vested in Manager. In the event of a termination of this Agreement without a Closing of the Option Agreement, Manager will assist Permittee in an orderly transition of programming.

Programmer agrees that Programmer will not accept any compensation of any kind or gift or gratuity of any kind whatsoever, regardless of its value or form, including, but not limited to, a commission, discount, bonus, materials, supplies or other merchandise, services or labor, whether or not pursuant to written contracts or agreements between Programmer and merchants or advertisers, unless the payer is identified in the programs as having paid for or furnished such consideration in accordance with FCC requirements. Upon request from Broker, Programmer agrees annually to execute and provide Company with a Payola Affidavit, substantially in the form which is provided as Attachment IV hereto.

RIGHT TO USE THE PROGRAMS. The right to use the programs produced or broadcast by FUEGO and to authorize their use in any manner and in any media whatsoever shall be, and remain, vested in FUEGO.

RIGHT TO USE THE PROGRAMS. The right to use the programs to be furnished hereunder by Broker and to authorize their use in any manner and in any media whatsoever shall be, and remain, vested in Broker, subject, however, to the rights of others (including, without limitation, copyright rights, trademark and service mark rights and other intellectual property rights) in ▇▇▇ to the programs. By entering into this Agreement, Licensee does not license Broker to use, in any manner, any programs produced or aired by Licensee.

RIGHT TO USE THE PROGRAMS. The right to use the programs to be furnished hereunder by Broker and to authorize their use in any manner and in any media whatsoever shall be, and remain, vested in Broker, subject, however, to the rights of others (including, without limitation, copyright rights, trademark and service mark ▇▇▇hts and other intellectual property rights) in and to the programs. In the event that: ( a) Broker develops trade secrets in connection with the programming which it is to furnish to Licensee under this Agreement, and (b) Broker discloses such trade secrets to Licensee pursuant to this Agreement, and (c) such trade secrets are not otherwise available in the public domain or known publicly, Licensee agrees to maintain the confidentiality of such trade secrets and not to
