Roles and Scope of Processing. 4.1 Role of the Parties. As between MailChimp and Customer, Customer is the Data Controller of Customer Data, and MailChimp shall process Customer Data only as a Data Processor acting on behalf of Customer.

Medallia shall process Customer Data in compliance with Data Protection Laws. Medallia shall not (i) Sell Customer Data, or (ii) retain, use, or disclose the Customer Data for any purpose other than for the specific purpose of providing the Medallia Products and performing the services specified in the Underlying Agreements and this DPA (except to comply with the law or binding order of a governmental body).

NE Processing of Customer Data NE shall Process Customer Data only for the purposes described in this DPA or in accordance with Customer’s documented lawful instructions. Customer acknowledges that NE shall have a right to Process Customer Data in order to provide Services to Customer, fulfill its obligations under the Agreement and this DPA, and for legitimate purposes relating to the operation, support and/or use of the Services such as billing, account management, technical support, product development, and sales and marketing.

The parties recognise that Customer a Data Controller of Customer Personal Data, and InformedActions shall process Customer Personal Data only as a Data Processor acting on behalf of Customer. 2.2 Customer represents and warrants that (i) it will comply with its obligations under Data Protection Laws in respect of Personal Data, including any obligations specific to its role as a Data Controller; (ii) it has provided all notice and obtained all consents, permissions and rights necessary under Data Protection Laws for InformedActions to lawfully process Personal Data under the Agreement; and (iii) If Customer is itself a Data Processor acting on behalf of a third-party Data Controller, Customer warrants to InformedActions that Customer's instructions and actions with respect to that Customer Personal Data, including its appointment of InformedActions as another Data Processor, have been authorized by the relevant Data Controller.
Roles and Scope of Processing. 2.1 Service Provider shall Process Personal Data under the Agreement only as a processor acting on behalf of Client. 2.2 Service Provider shall: (i) Process the Personal Data solely for the purposes of providing the Services to Client under the Agreement and in accordance with the Business Purposes; and (ii) not Process Personal Data for its own purposes or those of any third party. 2.3 For the avoidance of doubt, Service Provider shall not: (i) sell, rent, or trade Personal Data; (ii) retain, use, or disclose the Personal Data for any purpose other than for the Business Purposes, including to retain, use or disclose Personal Data for a commercial purpose other than performing its Services under the Agreement; and (iii) retain, use, or disclose the Personal Data outside the direct business relationship between Service Provider and Client. 2.4 The Client retains control of the Personal Data and remains responsible for its compliance obligations under the Applicable Privacy Law(s), including without limitation providing any required notices and obtaining required consents, and for the Processing instructions it gives to the Service Provider. Each Party shall comply with its respective obligations under Applicable Privacy Law(s) in all material respects relating to any Personal Data it Processes under this DPA. 2.5 Schedule 1 describes the general Personal Data categories and Data Subject types the Service Provider may Process to fulfill the Business Purposes.

As between truelogic and Customer, Customer is the Data Controller of Customer Data, and truelogic shall process Customer Data only as a Data Processor acting on behalf of Customer. 6.2 truelogic Processing of Customer Data. truelogic shall process Customer Data only for the purposes described in this DPA and only in accordance with Customer’s documented lawful instructions. It is agreed that this DPA and the Agreement set out the Customer’s complete instructions to truelogic in relation to the processing of Customer Data and processing outside the scope of these instructions (if any) shall require prior written agreement.
