Scope and Performance of Work. Consultant shall perform the services in a reasonably timely manner (on such schedule as reasonably determined by Consultant, subject to the limitations contained in Section 1(c) hereof) and shall use continuing best efforts to achieve the goals or objectives of the particular project. Consultant will perform the services at such locations as are mutually agreed upon by the parties.
Scope and Performance of Work. The Consultant agrees to provide assessment services for the Board for the intended development of the Project, such services being described in Exhibit A attached hereto and incorporated herein (collectively, “Services”). The Consultant shall promptly commence performance of the Services after written or verbal authorization by the Board’s Facilities Department (“Authorization to Proceed”) and shall use its best efforts to complete the Services within 45 consecutive calendar days after issuance of the Authorization to Proceed. The Consultant shall perform the Services consistent with the degree of care and skill exercised by prudent and experienced consultants and firms that perform building assessment and project feasibility services in the State of Ohio (“Standard of Care”). The Consultant shall, at all times, perform the Services in a professional manner and in accordance with all applicable laws, rules, orders, decrees, ordinances and statutes, and otherwise in accordance with the Standard of Care. The Consultant covenants that in performing the services, it shall use or employ only qualified personnel. The Consultant represents and warrants that it has personnel experienced in providing services for projects similar in scope and complexity to the Services to be provided hereunder, and that the Consultant shall use such personnel so as to provide the Services in accordance with the Standard of Care. The Board may require the Consultant to remove any person providing Services for the Project that the Board reasonably deems unfit for his or her duties. The Consultant may engage ▇▇▇▇▇▇▇ & ▇▇▇▇ Architects, Inc., a Texas corporation and Vision Design Group, Inc., an Ohio corporation (“Authorized Subconsultants”), as subconsultants to perform a portion of the Services. Except for the Authorized Subconsultant, the Consultant shall not employ any subcontractors or subconsultants to perform any portion of the Services without the express written approval of the Board. Any subcontractors or subconsultants engaged by the Consultant and approved by the Board, including the Authorized Subconsultant, shall be paid directly by the Consultant and the cost of such Subconsultant shall not result in any increase to the Consulting Fee payable by Board to the Consultant.
Scope and Performance of Work. The University shall commence the performance of the Sponsored Research on the Effective Date, and, concurrently with compliance by Sponsor with all terms (including payment terms) of this Agreement, agrees to use reasonable efforts to perform the Sponsored Research in accordance with the terms and conditions of this Agreement.
Scope and Performance of Work. Contractor agrees to furnish all materials, labor, tools, equipment, appliances, permits, supervision, coordination, installations, supplies, scaffolding, certificates and instruction, and parts manuals therefor to do and complete in prompt, efficient, and workmanlike manner and as directed by and to the satisfaction of the SafeSource Direct. Such scope of Work may be modified from time to time by mutual agreement. Contractor shall perform the Work in accordance with Good Practices which are standard in the industry and all Work shall be of the highest quality and workmanship. Additionally, the Contractor will assume the responsibility of jobsite clean-up practices as well as adherence to any security guidelines set forth by the Contract Order or Agreement until the end of term. SafeSource Direct shall cooperate, consult, and coordinate with the Contractor in the performance of Work. In the event the scope of work includes installation of materials or equipment furnished by others or work to be performed in areas to be constructed or prepared by other, it shall be the responsibility of the Contractor to examine and accept at the time of delivery of or first access, the items so provided and thereupon handle, store and install the items with such skill and case as to ensure a satisfactory completion of the work. Loss or damage due to acts of Contractor shall be charged to the account of Contractor and deducted from monies otherwise due under this agreement. This is an express set-off right of SafeSource Direct and approved by the Contractor.

Company shall install two switches on the Camp ▇▇▇▇▇▇▇▇-Lone Peak 138 kilovolt (“138 kV”) transmission line, install a new tap to Lehi City’s Northpoint substation and install a new 138 kV switch on the new tap line. A simplified one-line diagram illustrating the interconnection of the Project to Company’s transmission system is depicted in the attached Exhibit A, One-Line Diagram.
Scope and Performance of Work. Morecroft shall perform the services in a reasonably timely manner (on such schedule as reasonably determined by Morecroft) and shall use continuing best efforts to achieve the goals or objectives of the particular project. Morecroft may perform the services on site or, if appropriate, from another location. When necessary, Morecroft may use the Company’s, HBB’s or KCI’s in-house personnel or resources to assist in the performance of services.

When necessary, Consultant may use the Company’s in-house personnel or resources to assist in the performance of services.

  • Continuity of Service and Performance Unless otherwise agreed in writing, the Parties shall continue to provide service and honor all other commitments under this Agreement during the course of a Dispute with respect to all matters not subject to such Dispute.

  • Payment and Performance of Obligations Pay and perform all material Obligations under this Agreement and the other Loan Documents, and pay or perform (a) all taxes, assessments and other governmental charges that may be levied or assessed upon it or any of its property, and (b) all other indebtedness, obligations and liabilities in accordance with customary trade practices; except to the extent that IPT or the Borrower is contesting any item described in clauses (a) or (b) of this Section 7.5 in good faith and is maintaining adequate reserves with respect thereto in accordance with GAAP.

  • Software Performance HP warrants that its branded software products will conform materially to their specifications and be free of malware at the time of delivery. HP warranties for software products will begin on the date of delivery and unless otherwise specified in Supporting Material, will last for ninety (90) days. HP does not warrant that the operation of software products will be uninterrupted or error-free or that software products will operate in hardware and software combinations other than as authorized by HP in Supporting Material.

  • Work Performance ▇▇▇▇▇▇ agrees that all Services performed hereunder shall be performed on a best effort basis by employees, students, faculty, graduate assistants and staff having an appropriate experience and skill level and in compliance with the statement of work.

  • Product Performance Contractor hereby warrants and represents that the Products acquired by the Authorized User under the terms and conditions of this Contract conform to the specifications, performance standards and documentation in the Authorized User Agreement., and the documentation fully describes the proper procedure for using the Products. Contractor further warrants and represents that if the Products acquired by the Authorized User pursuant to an Authorized User Agreement under this Contract include software application development, software application customization, software programming, software integration or similar items (“Software Deliverables”) then such Software Deliverables shall be free from defects in material and workmanship and conform with all requirements of the Contract and Authorized User Agreement for the warranty period of one (1) year from the date of acceptance of the completed project (“Project warranty period”). Contractor also warrants that the Products, in the form provided to the Authorized User, do not infringe any copyright, trademark, trade secret or other right of any third party.
