Scope of Understanding. Through its labors, the Consortium will develop, support and maintain an integrated unemployment benefits and tax (UI-IT) system that will be used to serve clients and comply with applicable case law, statutory law, and regulatory law of each Party that is a member of the Consortium. The scope of the UI-IT system will consist of a core system where common elements for each state will exist, function and driven by rules engine(s) and a region to handle state-specific components for those state requirements that are not common in nature. These state-specific components will be connected and fully functional with the core system. The UI-IT system will be hosted in a Cloud environment. Each member will be responsible for providing support and maintenance needed to interface with any out-of-scope systems, develop enhancements for the UI-IT system, and support clients utilizing the UI-IT system. Where agreed upon by majority vote by the membership, provider(s) procured by one or more members will be utilized to provide common equipment, development and support services, with costs distributed equitably among members. Parties agree to utilize the “ReEmployUSA” brand, or approved derivatives of that brand specific to each state when marketing the UI-IT. Parties agree to use reasonable efforts to prevent any other person from infringing on the “ReEmployUSA” brand. Parties are not permitted to license or market the brand without the express permission of all members of the Consortium. Each Party may market its approved derivation of the brand without restriction as long as such marketing does not impinge the “ReEmployUSA” brand through false or misleading statements regarding Consortium membership, system capabilities, or future enhancements. 4.1 Member Responsibilities Parties agree that they will engage in the following activities both prior to final deployment of the system to production environment and in support of such an environment once deployed:  Plan: Identify and provide the human and technical resource requirements, necessary for a member to participate with provider(s) in the support of the system. Establish state-specific quality criteria that covers a provider(s) performance, delivery quality, and progress reporting requirements.  Analyze: Gathering and interpreting requirements, diagnosing gaps in the system to support business operations, as well as comply with case law, statutory and regulatory law, or immutable constraint, necessary to providing...
Scope of Understanding. Escrow Agent's duties and responsibilities in connection with this Escrow Agreement shall be purely ministerial and shall be limited to those expressly set forth in this Escrow Agreement. Escrow Agent is not a principal, participant or beneficiary in any transaction underlying this Escrow Agreement and shall have no duty to inquire beyond the terms and provisions hereof. Escrow Agent shall have no responsibility or obligation of any kind in connection with this Escrow Agreement or the Deposit and shall not be required to deliver the Deposit or any part thereof or take any action with respect to any matters that might arise in connection therewith, other than to receive, hold, invest, reinvest and deliver the Deposit as herein provided. Without limiting the generality of the foregoing, it is hereby expressly agreed and stipulated by the parties hereto that Escrow Agent shall not be required to exercise any discretion hereunder and shall have no investment or management responsibility and, accordingly, shall have no duty to, or liability for its failure to, provide investment recommendations or investment advice to the Other Parties or either of them. Escrow Agent shall not be liable for any error in judgment, any act or omission, any mistake of law or fact, or for anything it may do or refrain from doing in connection herewith, except for, subject to Section 7 hereinbelow, its own willful misconduct or gross negligence. It is the intention of the parties hereto that Escrow Agent shall never be required to use, advance or risk its own funds or otherwise incur financial liability in the performance of any of its duties or the exercise of any of its rights and powers hereunder.
Scope of Understanding. 1. FNS agrees to support School in performance of the Food Sharing Program pursuant to the terms and conditions stated in this Memorandum of Understanding. 2. FNS, School, and Food Bank shall inform one another of changes in designated personnel that affect the implementation of the Food Sharing Program.
Scope of Understanding. It is understood by all parties, that unless an unforeseen or emergent need arises, the Chief of Police will make every effort to discuss, or present any future, non-emergent change to the work schedule to the Members of the collective bargaining unit prior to the initiation of the non-emergent schedule.
Scope of Understanding. The scope ofthis MOU will include the development ofprograms that provide TSU students with clinical, field, practicum and internship experiences to augment their academic preparation at TSU. Concurrently, USN students will benefit from the diversity ofclassroom staff because ofthis MOU. Additionally, the parties may establish professional development opportunities for TSU faculty/staff. Under the framework ofthis MOU, any and all departments and units ofthe partner institutions have the ability, in coordination with the respective points of contact identified below, to develop and engage in joint activities. The content and special conditions ofopportunities developed under this MOU shall be specified by the collaborating departments in a separate written agreement that will govern their relationship. This MOU does not require either TSU or USN to assume any financial obligations. Mutually and clearly agreed upon financial obligations between TSU and USN will be put in writing in a separate signed agreement. Prior to working with TSU student teachers, all USN faculty must attend professional development training regarding the EdTPA, which is the capstone high stakes assessment for TSU students. TSU students as well as all students in the state ofTennessee must earn a minimum score of40 on this assessment in order to be recommended for licensure. In addition, all USN faculty working with TSU student teachers must have a working knowledge ofthe Tennessee Educator Acceleration Model (TEAM).
Scope of Understanding. A. The County of El Dorado Health and Human Services Agency Emergency Preparedness and Response Program submitted a work plan to CDPH, which included goals and plans identified by CDPH to be accomplished by the established community-based partnership of medical entities identified herein as the Healthcare Coalition. The Healthcare Coalition is committed to delivering services based on that plan. Services include the promotion of emergency planning and exercising of emergency response activities. All Healthcare Coalition Participants agree to the following, subject to availability of participants: 1. Participate in Healthcare Coalition planning and readiness meetings. 2. Annually update local hazards vulnerability assessments. 3. Healthcare Coalition Participants are responsible for their own emergency response plans, including continuity of operations plans. 4. Participate in Coalition Surge Test exercises, as required and appropriate. 5. Share best practices in emergency response planning, when appropriate. 6. Develop mutually beneficial agreements between Healthcare Coalition Participants in support of emergency response activities and/or resource sharing, whenever possible. 7. Collaborate on emergency preparedness drills, exercises and response activities. 8. Promote emergency response training that includes the Healthcare Coalition Participants. B. The County of El Dorado Health and Human Services Agency’s Emergency Preparedness and Response Program functions as the Healthcare Coalition Coordinator, and as such, agrees to: 1. Host Healthcare Coalition planning and readiness meetings. 2. Promote participation by all Healthcare Coalition Participants in emergency preparedness training, drills, exercises and response activities, as appropriate. 3. Conduct redundant communication drills with Healthcare Coalition Participants, including testing of real time bed capacity reporting. 4. Share information with stakeholders and encourage participation in planning practices.
Scope of Understanding. Therefore, ITD and the City of Minot agree to the following: The City of Minot agrees to authorize use of currently licensed frequencies necessary for the deployment of SIRN and agrees to work with ITD on any transition plan to minimize impact to the current licensee and SIRN. The City of Minot retains the ownership and the right to utilize its licensed frequencies during the development and deployment phase. At such time SIRN becomes operational and has been accepted by the State of North Dakota and the City of Minot is able to utilize the SIRN system, the City of Minot agrees to transition operational control to its frequencies to ITD, on behalf of the State of North Dakota, to be managed under the SIRN system. To the extent allowed under law, the transfer of operational control will be accomplished through a shared agreement or a transfer agreement which will be mutually determined at the time of execution. Fiscal obligations related to the relinquishment, and acquisition, of the legal rights to any radio frequency is considered a project cost and be paid for with project dollars, or as required by the SIEC. If at such time the SIRN system is no longer operational, and frequencies under the operational control of ITD are no longer required for an equivalent replacement radio network, said frequency operational control shall be transitioned back to the original licensee (paid as a project expense).
Scope of Understanding. The initial scope of work and level of effort includes preparation of information required for a Water Storage Infrastructure Project Report for State funding of the USJRBSI, as well as operations studies necessary to develop construction cost-share agreements with potential beneficiaries. When the Parties identify new tasks, specific scopes and requirements will be negotiated between the Parties and the existing MOU will be modified as necessary.
Scope of Understanding. The County will provide the City with funds in the amount of $225,000.00, for the acquisition and installation of playground equipment at the Park and improvements to the Center. To the extent its books and records relate to (i) its performance of this Agreement or any subcontract entered into pursuant to it or (ii) cost or pricing date (ifany) set forth in this Agreement or that was required to be submitted to the County as part of the procurement process, the City also agrees to require any subcontractor it may hire to perform its obligations under this Agreement to (i) maintain such books and records during the term of this Agreement and for a period of six years form the date of final payment under this subcontract; (ii) allow the County or its designee to audit such books and records in accordance with GAAP.
