SEC Order Clause Samples

An SEC Order clause outlines the obligations and procedures that parties must follow in the event of an order, directive, or requirement issued by the U.S. Securities and Exchange Commission (SEC). This clause typically specifies how the parties should respond to such orders, including providing information, suspending certain activities, or making necessary disclosures to remain in compliance with securities laws. Its core practical function is to ensure that the agreement remains compliant with regulatory requirements and to allocate responsibility for responding to SEC actions, thereby reducing legal and regulatory risk for the parties involved.
