Service Provider Duties. (i) Service Delivery responsibilities (a) To adhere to the service levels documented in this Agreement. (b) Service Provider shall ensure to filter all phishing / spamming / overflow attacks in order to ensure availability and integrity on continuous basis. (c) Service Provider shall ensure that Service Provider’s personnel and its sub- contractors (if allowed) will abide by all reasonable directives issued by the Bank, including those set forth in the Bank’s then-current standards, policies and procedures (to the extent applicable), all on-site rules of behaviour, work schedules, security procedures and other standards, policies and procedures as established by the Bank from time to time. (d) Service Provider agrees and declares that it shall be the sole responsibility of Service Provider to comply with the provisions of all the applicable laws, concerning or in relation to rendering of Services by Service Provider as envisaged under this Agreement. (e) Service Provider shall be responsible to provide Data Dictionary in a format provided by the Bank. During the term of this Agreement, such a format may be revised by the Bank as per the requirements. Service Provider shall capture all the fields in Data Dictionary format and keep the same always updated during the term of this Agreement.

Service Provider Duties. The Service Provider hereby agrees that, during the term of this Agreement specified in Section 3 hereof, it will provide certain services (collectively, the “Services”) to the Company as may be requested, from time to time, by the Company and agreed to by the Service Provider, which Services shall include, without limitation, business, technical, financial, IT or scientific advice related to Company’s business. The Service Provider will devote such time and efforts to the performance of Services contemplated hereby as the parties mutually agree is reasonably necessary or appropriate. The Company acknowledges that the Service Provider’s services are not exclusive and that the Service Provider will render similar services to other persons and entities. In providing services to the Company, the Service Provider will act as an independent contractor and it is expressly understood and agreed that this Agreement is not intended to create, and does not create, any partnership, agency, joint venture or similar relationship and that neither the Company, on the one hand, nor the Service Provider, on the other, has the right or ability to contract for or on behalf of the other or to effect any transaction for the other’s account.

(e) Service Provider shall report the incidents, including cyber incidents and those resulting in disruption of service and data loss/ leakage immediately but not later than one hour of detection. (f) The Service Provider shall execute Data Processing Agreement on the format attached as Appendix-G to this RFP. (g) The Service Provider agrees to comply with the obligations arising out of the Digital Personal Data Protection Act, 2023, as and when made effective. Any processing of Personal Data by the Service Providers in the performance of this Agreement shall be in compliance with the above Act thereafter. The Service Provider shall also procure that any sub- contractor (if allowed) engaged by it shall act in compliance with the above Act, to the extent applicable. The Service Provider understands and agrees that this agreement may have to be modified in a time bound manner to ensure that the provisions contained herein are in compliance with the above Act. Service Provider Duties. The Service Provider shall: a.) Perform and carry out the project in a good and ▇▇▇▇▇▇▇-like manner and to the best of Service Provider’s abilities; b.) Devote sufficient time to the Project to carry it out in an appropriate and proficient manner, and in accordance with the timetable, described on the attached Service Provider’s documentation; c.) Conduct the Project and perform services in a professional manner and in accordance with the directives of the Nation’s Representative, identified on the attached documentation; and/or d.) Deliver purchase item(s) in accordance with the specifications and directives of the Nation’s Representative, identified on the attached documentation. e.) The Service Provider warrants to the Nation that all goods and services furnished hereunder, will conform in the necessary respects to the terms of this Agreement, including any drawings, specifications or standards incorporated herein, and/or defects in materials, workmanship and free from such defects in design. In addition, the Service Provider warrants that goods and services are suitable for and will perform in accordance with the purposes for which they were intended.

(f) Service Provider/ Vendor shall abide by the provisions of the DPDP Act, 2023 - 11th August, 2023; ▇▇-▇▇-E-12082023-248045 as and when the relevant rules and guidelines come into force. (g) Service Provider duties as per the scope of work as specified in Annexure-A.
