Services and Statements of Work. We will perform the C&I Services for you that are set forth in the applicable Statements of Work. You will pay the Fees under each Statement of Work in accordance with these General Terms, or otherwise as we may expressly agree in the applicable Statement of Work. In each Statement of Work, we will designate our primary point of contact for you for all matters relating to the applicable C&I Services (which we may change from time to time upon notice).
Services and Statements of Work. 1.1. MetaWeb agrees to supply and Client agrees to acquire Services on the terms and conditions of this Agreement. 1.2. If expressly stated in a Proposal, Client acknowledges and agrees that MetaWeb will be the exclusive provider of the Services. Client may have a third party perform the whole or any part of the Services where MetaWeb does not agree to provide such Services requested by Client on reasonable terms. 1.3. If and when Client wishes to order Services, the parties will prepare a Statement of Work. Each Statement of Work must contain the details and be substantially similar in form to the Statement of Work Template. 1.4. When a Statement of Work has been agreed by the parties, it will be incorporated into this Agreement and will be governed by these terms. 1.5. If either party wishes to change the Services or request a change to a Statement of Work, then both parties agree to follow the variation process referred to in Clause 6.
Services and Statements of Work. 1.1 Magna hereby retains Serve and Serve agrees to provide to Magna, from time to time, the services described in one or more statements of work in the form attached as Schedule A hereto (each, a “Statement of Work” or “SOW”) and in accordance with the terms and conditions of this Agreement. To the extent there is any conflict between this Agreement and any Statement of Work, this Agreement shall prevail to the extent of such conflict, unless explicitly stated otherwise in the Statement of Work. 1.2 For the purposes this Agreement, the term “Services” shall mean all of the activities and tasks detailed in the applicable Statement of Work to be provided by Serve. For greater certainty and notwithstanding the foregoing, the term “Services” shall also include all services, functions and responsibilities that are inherent, necessary or customarily provided as part of the services set out in that Statement of Work, or that are reasonably required for the proper performance of such services (as these services may be modified during the Term (as defined below) in accordance with this Agreement), whether or not such services, functions or responsibilities are expressly described in the Statement of Work.

Services and Statements of Work. Netscape agrees to use commercially reasonable efforts to perform or cause to be performed for Customer the Services described in Proposals that may from time to time be executed by Customer and Netscape. Each Proposal shall, when executed by Customer and Netscape, form a part of this Agreement and be subject to the terms and conditions set forth herein. Customer shall advise Netscape in writing of the individuals with whom Netscape consultants will interface for each Proposal. Customer and Netscape shall develop appropriate procedures to assure timely and appropriate coordination of efforts. Such appropriate procedures shall include, among other things, detailed task level project plans (including appropriate milestones and deliverables) accepted in writing by the parties, project management approach, staffing, escalation policy and procedure, project status tracking and reporting, and acceptance and testing criteria. Customer shall provide such information and assistance as is reasonably required to permit Netscape to complete each Proposal.

  • Statements of Work 3.1 Each Statement of Work shall be agreed in the following manner: (a) the Customer shall ask the Supplier to provide any or all of the Available Services and provide the Supplier with as much information as the Supplier reasonably requests in order to prepare a draft Statement of Work for the Available Services requested; (b) following receipt of the information requested from the Customer the Supplier shall, as soon as reasonably practicable either: (i) inform the Customer that it declines to provide the requested Available Services; or (ii) provide the Customer with a draft Statement of Work. (c) if the Supplier provides the Customer with a draft Statement of Work pursuant to Clause 3.1(b)(ii), the Supplier and the Customer shall discuss and agree that draft Statement of Work; and (d) both parties shall sign the draft Statement of Work when it is agreed. 3.2 Unless otherwise agreed, the SoW Charges shall be calculated in accordance with the Reference Charges. 3.3 The Supplier may charge for the preparation of Statements of Work on a time and materials basis in accordance with the Supplier’s daily fee rates as set out in Schedule 3. 3.4 Once a Statement of Work has been agreed and signed in accordance with Clause 3.1(d), no amendment shall be made to it except in accordance with Clause 8 (Change control) or Clause 19 (Variation). 3.5 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.

  • Services and Support In consideration of (and subject to) payment of the fees and marketing obligations listed herein and on the applicable Order Form (the “Fees”) and subject to full compliance with all the terms and conditions of this Agreement, Service Provider will use reasonable commercial efforts to provide Customer the Services selected in the Order Form and the applicable General Service Level Support Terms identified in Exhibit A. As part of the registration process, Customer will identify an administrative user name and password for Customer’s Service Provider account (the “Account”). Customer may use the administrative user name and password to create standard users (each with a user password) up to the maximum number permitted in the Order Form. Service Provider reserves the right to refuse registration of, or cancel passwords it deems inappropriate. By entering into this Agreement and using the Service, ▇▇▇▇▇▇▇▇ accepts and agrees to be bound by the Service Provider’s terms of service and privacy policies listed on Service Provider’s website.

  • Service Level Agreements If a Service or a Plan includes a Service Level Agreement (‘SLA’): (a) we are liable for any remedy or rebate allowed to you under the SLA; and (b) subject to clauses 34 to 38, and to the express terms of the SLA, our liability for breach of the SLA is limited to such remedy or rebate.
