Share Value Clause Samples
The Share Value clause defines how the value of a company's shares is determined for specific purposes outlined in the agreement. Typically, it sets out the method for calculating share value, such as referencing a recent valuation, using a formula based on financial metrics, or relying on an independent appraiser. This clause is essential for ensuring all parties have a clear, agreed-upon process for valuing shares, which is particularly important in events like buyouts, transfers, or exits, thereby reducing disputes and providing certainty.
