Social Value. The Consultant shall be required to deliver social value elements pursuant to the Wellbeing of Wales Act 2015 that were set out in their proposal or shall agree with the Authorised Officer reasonable endeavours to ensure that, in providing the Consultancy Services, it improves the economic, social and environmental well-being of the County of Flintshire/Denbighshire.

Social Value. During the term of the Agreement, the Supplier will, where requested by the Client, engage with the Client to assist the Client in meeting the objectives of the Client’s Corporate Social Responsibility Policy (“CSR Policy”). A copy of the CSR Policy is available on the Client’s website and the Supplier will be expected to be familiar with the CSR Policy.

Social Value. 14.1 In performing their respective obligations in pursuance of this Agreement the Parties shall comply with the requirements of Public Services (Social Value) ▇▇▇ ▇▇▇▇.

Social Value. The Supplier shall complete annual Corporate Social Responsibility (CSR) assessments upon request from Customers.

Social Value. During the term of the Agreement, the Supplier will, where requested by the Client, engage with the Client to assist the Client in meeting the objectives of the Client’s Environmental, Social and Governance Policy (“ESG Policy”). A copy of the ESG Policy is available on the Client’s website and the Supplier will be expected to be familiar with the ESG Policy.

Social Value. 4.16.1. The Public Services (Social Value) Act 2012 requires public authorities to have regard to economic, social and environmental wellbeing in connection with public services contracts and for connected purposes as well as allowing for national and local strategies around this area. The Supplier may be required at the Call Off Stage to identify as an optional variant the Social Value initiatives it proposes as proportionate and relevant to the Call Off Contract.

Social Value. 5.3.1 The ▇▇▇▇▇ ▇▇▇▇▇ Cricklewood programme will secure wider social, economic and environmental benefits. This is set out in more detail within the relevant sections of the Committee reports included within the background section of this DPR.

Social Value. The Supplier shall provide a monthly update at governance review meetings on the steps the Supplier is taking to ensure delivery of this Call-Off Contract supports the Buyer’s theme of “Equal Opportunities” with the required policy outcome being “Tackle workforce inequality”. Alternative clauses Not applicable. Buyer specific amendments to/refinements of the Call-Off Contract terms The Supplier shall not include restrictive covenant(s) in its contract(s) with its Subcontractor(s) that would prevent or impede any such Subcontractor(s) from contracting directly or indirectly with the Buyer in the event the Buyer Ends the Call Off Contract and/or any individual Statement of Work (in whole or in part) for any reason. Formation of contract 1.1 By signing and returning this Order Form (Part A), the Supplier agrees to enter into a Call-Off Contract with the Buyer. 1.2 The Parties agree that they have read the Order Form (Part A) and the Call-Off Contract terms and by signing below agree to be bound by this Call-Off Contract. 1.3 This Call-Off Contract will be formed when the Buyer acknowledges receipt of the signed copy of the Order Form from the Supplier. 1.4 In cases of any ambiguity or conflict, the terms and conditions of the Call-Off Contract (Part B) and Order Form (Part A) will supersede those of the Supplier Terms and Conditions as per the order of precedence set out in clause 8.3 of the Framework Agreement.

Social Value. The Supplier shall be able to fulfil all Social Value requirements. Please refer to Paragraph 4.16
