Sourced Products. In the event that any of the Products to be supplied under the Contract are Sourced Products, the Customer shall be required to complete a Nominated and Sourced Product Form and the following additional provisions will apply: 14.1. The Company shall agree with the suppliers of Sourced Products all matters concerning Sourced Products, including the specification, which shall be based on the requirements of the Customer. The Customer shall be responsible for forecasting its requirements for any new Sourced Products for the first 6 weeks. 14.2. The Company shall purchase Sourced Products from suppliers at the cost price agreed between it and the supplier of the Sourced Products. The Company shall agree the selling price of the Sourced Products with the Customer and shall notify the Customer of any cost price increases imposed on it by the supplier of the Sourced Products, which shall result in an increase in the selling price to the Customer. 14.3. The Company shall not be responsible for any costs resulting from shelf life expiry, waste, discontinuance of stock or unordered stock of the Sourced Products. In any of these events, the Company may charge the Customer the full selling price of such Sourced Products in addition to any disposal or return costs.
Sourced Products. In the case of products that fall within awarded categories which the Vendor sources on behalf of the State and which are not part of the Vendor’s standard offerings, the State shall receive the Non-Market Basket Discount for the category into which the products fall, where applicable, at the discretion of the State Vendor Contract Manager.

Sourced Products. 2.1 The term “Sourced Products” means:
Sourced Products. Grainger has the ability to obtain products for Program Participants that are not offered in the Grainger General Catalog (“Sourced Products”). Sourced Products are obtained from Grainger third-party suppliers and are subject to additional terms and conditions. The following terms and conditions apply to Sourced Products:
Sourced Products. For any reagent components or products sourced by Becton through OSI, Becton shall pay OSI the actual fully absorbed cost thereof plus ** . For the products listed on Schedules A and B, the costs agreed to by the parties are set forth on Schedule C attached hereto. Fully absorbed cost includes all direct expenses, as well as a proportional allocation of overhead consistent with OSI's usual practice. Sourced Products. During the Term, Buyer shall pay Seller the Sourced Products Fee for all Sourced Products on the terms set forth in Schedule 1. The Sourced Products Fee is payable by Buyer to Seller in consideration of Seller foregoing its right to be the exclusive manufacturer and supplier of Sourced Products under the ATA. Buyer shall not (a) manufacture any Sourced Products, including any parts or components thereof, internally or (b) procure Sourced Products, including any parts or components thereof, except in accordance with Schedule 1. Seller shall have no responsibility or obligation of any kind or nature whatsoever with respect to any Sourced Products. Buyer is solely responsible for negotiating and coordinating all aspects of any Sourced Products directly with the manufacturer or supplier thereof.

Related to Sourced Products

  • Licensed Products Lessee will obtain no title to Licensed Products which will at all times remain the property of the owner of the Licensed Products. A license from the owner may be required and it is Lessee's responsibility to obtain any required license before the use of the Licensed Products. Lessee agrees to treat the Licensed Products as confidential information of the owner, to observe all copyright restrictions, and not to reproduce or sell the Licensed Products.
