STIPULATIONS OF CONTRACT. Upon acceptance of this contract by the AIRSHO, Vendor has agreed to operate a food booth that will be located on CAF High Sky Wing/Airport premises during the period of September 10-11, 2022. Vendor agrees to sell the listed items below for the consumption of the general public and further agrees that all prices for such items will be posted in clear view of the consuming public. Items to be sold: Food: Drinks: NO SOFT DRINKS / NO WATER Only the items listed above will be allowed to be sold. You will be contacted by the Food Vendor Chairman on any items that are not allowed in Vendor’s booth. Vendor will not sell alcoholic beverages of any kind or any bottled or canned drink beverages including water. Vendor will be required to purchase ICE exclusively from the CAF at a trailer on the premises. No other ICE vendor may be used during the duration of this contract. Vendor will pay the sum of $ for rent of booth space(s) outdoors, to the CAF HSW AIRSHO, as full recompense for the vendor privilege. A $200 deposit, non refundable, is to accompany this application with the balance due on or before September 1, 2022. No refunds. Vendor will also provide a SEPARATE $100 refundable clean-up deposit. This deposit will be returned to vendor the week after the event is over and a Food Vendor Representative has satisfactorily inspected the booth space. If vendor fails to have booth space cleaned up, the deposit will be forfeited. Any payments returned by the bank for ANY reason will void this contract and Vendor will lose all rights to participate in this or any future shows. Vendor agrees to be totally responsible for payment and/or costs of all licenses, taxes and fees incurred as a direct result of this agreement. Vendor further agrees to save, indemnify, and hold harmless the Commemorative Air Force, its employees, officers, agents and members, their heirs, successors or assigns with regard to any claims, actions, events, litigation, or adverse results regarding the consumption or use of the products made and/or sold by the Vendor during the terms of this agreement. Vendor will provide the AIRSHO a Certificate of Insurance in the amount of $1,000,000.00 or greater with the Commemorative Air Force named as additional insured no later than September 1, 2022, indicating insurance being current during the dates of September 9-11, 2022. No refunds will be issued after May 31 due to cancellation (voluntary or involuntary). Any request for a refund must be formally submitted in writing to the MCOC no later than 4:00 p.m. May 31, 2025. Location Assignments and Load-in Procedures: (initial each box to acknowledge agreement to these procedures) Vendor will be assigned a spot by the Vendor Chair if completed contract is returned along with proof of insurance and payment. Proof of insurance may be turned into the MCOC no later than 12:00 PM June 9, 2025. Vendors must submit booth dimension needed and type of structure (e.g. – tent, food truck, etc.) Vendor will be assigned a load-in time based on spot selection. Load-in times will occur between 6 p.m.- 9 p.m. on Thursday, July 3 and/or 7 a.m. – 8:25 a.m. on Friday, July 4. If vendor arrives more than 5 minutes after specified load-in time, they will be re-assigned at the sole discretion of the MCOC. Vendors arriving early will be directed to wait until their assigned load-in time slot. Upon assignment of space, MCOC will notify Vendor of allotted time to place main structure of booth and detach/relocate any trailer, vehicle, or any other item that extends beyond the perimeter of their assigned space. Entry will be located from Colorado St. Everything must be unloaded and vehicles moved to designated parking area by 8:30 a.m. July 4, 2025, at which time barricades will close the gate to vehicles. Vendors will not be allowed to park a vehicle directly behind their booth. Vehicle MUST remain parked in the allotted vendor parking area between 8:30 a.m. - 2 p.m. AND 5 p.m. – 11 p.m. on July 4, 2025. TERMS OF AGREEMENT: The terms of this agreement shall begin Wednesday, September 1st, 2021 at 7:00 AM and shall conclude Thursday, September 2nd, 2021 at 7:00 PM. Exhibitors will pay a total sum of $175.00 ($250 for VIP) for rent per booth space. Full payment is due on or before Wednesday, August 18th, 2021 by 5:00 p.m. Any payments returned by the bank for ANY reason will void this contract and Exhibitor will lose all rights to participate in this or any future events. No refunds will be issued after August 18th due to cancellation (voluntary or involuntary).   • Obligations of Contractor 5.01 CONTRACTOR agrees to perform all Services in accordance with the terms and conditions of this Agreement and the Proposal. Additionally, when requested by CITY, CONTRACTOR shall prepare written status reports. 5.04 CONTRACTOR is responsible for paying, when due, all income and other taxes, fees and withholding, including withholding state and federal taxes, social security, unemployment and worker’s compensation, incurred as a result of the compensation paid under this Agreement. ▇▇▇▇▇▇▇▇▇▇ agrees to indemnify, defend and hold harmless CITY for any claims, costs, losses, fees, penalties, interest, or damages suffered by CITY resulting from CONTRACTOR’s failure to comply with this provision. 5.05 In the event CONTRACTOR is required to prepare plans, drawings, specifications and/or estimates, the same shall be furnished in conformance with local, state and federal laws, rules and regulations. 5.06 CONTRACTOR represents that it possesses all required licenses necessary or applicable to the performance of Services under this Agreement and the Proposal and shall obtain and keep in full force and effect all permits and approvals required to perform the Services herein. In the event CITY is required to obtain an approval or permit from another governmental entity, CONTRACTOR shall provide all necessary supporting documents to be filed with such entity. 5.07 CONTRACTOR shall be solely responsible for obtaining Employment Eligibility Verification information from CONTRACTOR’s employees, in compliance with the Immigration Reform and Control Act of 1986, Pub. L. 99-603 (8 U.S.C. 1324a), and shall ensure that CONTRACTOR’s employees are eligible to work in the United States. 5.08 In the event that CONTRACTOR employs, contracts with, or otherwise utilizes any CalPERS retirees in completing any of the Services performed hereunder, such instances shall be disclosed in advance to the CITY and shall be subject to the CITY’s advance written approval. 5.09 Drug-free Workplace Certification. By signing this Agreement, the CONTRACTOR hereby certifies under penalty of perjury under the laws of the State of California that the CONTRACTOR will comply with the requirements of the Drug-Free Workplace Act of 1990 (Government Code, Section 8350 et seq.) and will provide a drug- free workplace. 5.10 CONTRACTOR shall comply with all applicable local, state and federal laws, rules, regulations, entitlements and/or permits applicable to, or governing the Services authorized hereunder.
