Sub-processor. 4.1 The Controller expressly authorizes the use of the services of sub-processors by the Processor in the performance of the Data Processing operations. The sub-processors listed in Annex ./1 shall be deemed to have been approved at the time of conclusion of the contract. 4.2 The Processor shall inform the Controller of any intended change regarding the use or replacement of a sub-processor. The Controller may object to the intended change in writing by email to ▇▇▇▇▇▇▇@▇▇▇▇.▇▇ within 30 working days from the date of notification. In case of timely objection, the processor shall not be entitled to use the services of the rejected sub-processor in the Data Processing operations. If no objection is raised by the Controller within the aforementioned period, the intended change shall be deemed approved by the Controller. 4.3 If the Processor uses a sub-processor, it shall be obliged to conclude an agreement with the sub- processor within the meaning of Art. 28(4) of the GDPR. In this agreement, it must be ensured that the sub-processor enters into the same obligations that apply to the contractor on the basis of this DPA.
Sub-processor. For the purposes of this Agreement, the term “Sub-processor” (sometimes referred to as the “Subcontractor”) means a party other than LEA or Provider, who Provider uses for data collection, analytics, storage, or other service to operate and/or improve its software, and who has access to PII.
Sub-processor. 1. The Client hereby grants the Supplier general permission to involve third parties in the execution of the obligations under this Processing Agreement, to act on behalf of Supplier as well as to transfer all or part of the Processing Activities to Sub-processors (each a ‘Sub-Processor’). 2. The Supplier will remain jointly and severally responsible for the compliance by Supplier’s Sub-Processor in terms of the obligations under this Processing Agreement. 3. The Supplier will enter into an agreement with each Sub-Processor, in which Sub-Processor will guarantee a similar level of Personal Data protection as agreed by the Parties in this Processing Agreement. 4. The Supplier will notify the Client of any intended material changes with respect to the appointing or replacing of a Sub-Processor in order to enable the Client to object to such changes. If the Client has reasonable objections to such changes the Supplier will take these reasonable objections by the Client into account in its decision to continue or discontinue the intended material changes, appointment or replacement of the Sub-Processor.

The following terms shall apply in the event Data Processor notifies the Data Controller of addition or replacement of Sub-processor: 1. If the Data Controller objects to such addition or replacement of the Sub-processor on any reasonable grounds, it shall be notified to the Data Processor in writing. The parties shall discuss such concerns in good faith with a view to achieve a commercially reasonable and technically viable resolution. If the Data Processor is unable to consider Controller’s objection and no such resolution can be reached and the same being notified to the Controller, the Controller may as its sole remedy, terminate the subscription for the affected service without penalty by providing, before the end of the notice period, written notice of termination that includes an explanation of the grounds for non-approval. 2. If the affected service is part of a suite (or similar single purchase of services), then any termination will apply to the entire suite. 3. No amounts shall be refunded by the Data Processor to the Controller. Sub-processor. 3.1 Customer authorizes Reveal to use sub-Processors to carry out the Customer Data Processing activities on behalf of Customer that are strictly necessary for the performance of the Contract. 3.2 Reveal maintains an up-to-date list of its sub-Processors, available in appendix 4 or on Reveal’s website, which it updates on a regular basis. The list of Reveal’s sub-Processors is provided upon written request by Customer 3.3 Reveal undertakes to inform Customer of any addition or replacement of sub-Processors as soon as possible. Customer may express its objections in writing within ten (10) working days of receiving the information. Customer acknowledges and agrees that the absence of objections within this period is equivalent to acceptance of the sub-Processor. 3.4 Where such a sub-Processors are engaged, Reveal will: − use sub-Processors with sufficient guarantees as to the implementation of appropriate technical and organizational measures in order to meet the requirements of the Applicable Data Protection Regulations. − contractually impose on its sub-Processors a level of requirements that is at least as high as that provided for in this DPA and in the Applicable Data Protection Regulations with regard to Customer Data protection.
