Subscription Term and Renewal. The initial Subscription Term for a Hosted Service Subscription License is stated in the applicable Order. The Subscription Term will automatically renew for successive one-year periods unless either Company or Nuance gives notice of nonrenewal to the other party and to the Authorized Reseller not less than 30 days before the expiration of the current term, at the renewal rate set forth in Company’s Order or, if no renewal rate is specified, at the contracted rate applicable under Company’s Order immediately before renewal.

Subscription Term and Renewal. (a) The term of a Subscription shall commence upon the date specified in the Quotation or as otherwise agreed upon by the parties in writing and continue for the period specified in the Quotation or as otherwise agreed upon by the parties in writing (the “Initial Term”), unless terminated prior to the end of such period in accordance with the terms hereof. (b) A Subscription shall be renewed at the Subscription Provider’s then current list price for additional one (1) year periods (a “Renewal Term”) unless Licensee provides ninety (90) days advance written notice prior to the end of the Initial Term or the current Renewal Term of its intent to terminate the Subscription at the expiration of the current term. (c) At the end of the Initial Term and each subsequent Renewal Term, the Subscription Provider and Licensee will review the then current and planned number of enabled named Authorized Users and the Subscription Provider will adjust the pricing for the Renewal Term based upon the results of such review (a “True-Up”). At the end of the Initial Term and each subsequent Renewal Term, Licensee will provide total current count of enabled named Authorized Users to Subscription Provider for the purposes of such True-Up and determining the Subscription pricing for the subsequent Renewal Term. Additionally, Licensee will provide estimates of growth or shrinkage in user accounts over the Renewal Term to enable determination of the appropriate renewal price schedule to be applied. (d) In the event a Licensee does not renew a Subscription or such Subscription is terminated in accordance with the terms hereof, Licensee may continue to use versions of the Licensed Software made openly available by Aras at no-charge subject to the terms set forth in Section A. Nonetheless, use of any Licensed Software that is distributed as Subscriber-only software will be terminated automatically by the expiring license key.

At least 30 days prior to the expiration of a Subscription Term, PowerDMS will send a new Service Order notifying Customer of the pricing applicable to a renewal subscription for a period equal to the expiring Subscription Term. PowerDMS reserves the right to increase the subscription fees applicable to the renewal subscription. The new Service Order shall be deemed to be effective if Customer (a) returns the executed Service Order to PowerDMS, (b) remits payment to PowerDMS of the fees set forth in the invoice referencing the Service Order, or (c) the Customer or any of its Users access or use the Services after the expiration of the previous Subscription Term.
Subscription Term and Renewal. The Hosted Application is sold on a subscription basis for the period beginning on the date of the Order Confirmation and expiring either one (1) month or one (1) year thereafter as indicated on the applicable Order Confirmation (“Subscription Term”). The Subscription Term will automatically renew for an additional Subscription Term at the current retail rate unless (a) any Fees are outstanding at the end of any Subscription Term, or (b) Customer provides written notice of termination at least: (i) fifteen (15) days prior to the end of the then-current Subscription Term if on a monthly basis, or (ii) thirty (30) days prior to the end of the then-current Subscription Term if on an annual basis. Notwithstanding the foregoing, CCH SFS, in its discretion and for any reason, may decide not to renew Customer’s Subscription to the Hosted Application, in which case, CCH SFS will make reasonable efforts to notify Customer of this decision prior to the expiration of Customer’s then current Subscription Term.
Subscription Term and Renewal. The initial Subscription Term for a Hosted Service Subscription License shall be twelve (12) months unless otherwise stated in the applicable Order. Unless Company specifically chooses no automatic renewals, the Subscription Term will automatically renew for successive one-year periods at the contracted prices applicable under Company’s Order immediately before renewal unless Company takes action to cancel such Order in AMP prior to the expiration of the then-current Subscription Term or annual renewal/extension thereof. If Company specifically chooses no automatic renewals, then the Subscription Term shall cease at the conclusion of the initial 12-month Term, and Company and its Authorized Users are subject to the procedures set forth in Section 6.5 (Effect of Termination); in such event to continue accessing and using the Hosted Services after expiration of the initial Term, Company would be required to place a new Order for the Hosted Services.

Upon expiration of the Initial Term the Initial Term will automatically renew for successive periods of the same length as the Initial Term (each, a “Renewal Term”), at the then-current rates specified on the Subscription Page. However, Mercero may require any Renewal Term to be at the rates and for the programs specified in a written notice to Customer, effective upon the later to occur of (a) not less than sixty (60) days of its written notice of such requirement, or (b) expiration of Customer’s Subscription Term in effect on the date on which Mercero transmits its notice that new rates will apply (applies to Customers with an annual subscription). Customer’s credit card will be automatically debited for the fees payable for each Renewal Term at the beginning of each Renewal Term. The Initial Term and each Renewal Term are individually referred to in these Terms as the “Subscription Term”. Customer may terminate the Subscription Term at any time by deleting its Account via the Mercero Platform dashboard; the termination will become effective at the end of the then-current period for which Customer has prepaid, and the Subscription Term will not renew. Customer acknowledges that its subscription will automatically renew, and ▇▇▇▇▇▇▇▇’s credit card will continue to be charged, until Customer terminates its subscription as specified in this Section 8.4.1. Mercero may terminate the Subscription Term upon expiration of the Initial Term or the then-current Renewal Term, by provision of not less than 10 days’ prior notice to Customer.
