Common use of Subsidiary Certificates Clause in Contracts

Subsidiary Certificates. A certificate executed by an authorized officer of each Domestic Subsidiary and a secretary or assistant secretary of such Domestic Subsidiary certifying (a) the resolutions of, as applicable, the Board of Directors or members of such Subsidiary authorizing the execution, performance and delivery of the Guaranty of Payment and all other Related Writings to which it is a party, and (b) the names and signatures of the officers of such Domestic Subsidiary executing or attesting to the Guaranty of Payment;
