Teaching Reductions. (a) Teaching reductions of three (3) hours in each of the fall and winter term will be made for employees: i) selected as the Chair of a Department; ii) where it is determined by the ▇▇▇▇ of Research and Graduate Studies and approved by the employee’s School ▇▇▇▇ that such Instructor is engaged in major research requiring relief from some teaching responsibilities. (b) Teaching reductions of three (3) hours in each of the fall and winter term will be made for the President of NSGEU, Local 18. (c) Any other teaching reduction shall be as agreed among an individual employee, the employee’s Department Chair, and the employee’s School ▇▇▇▇ and subject to the approval of the Vice-President, Academic and ▇▇▇▇▇▇▇. The Union shall be notified of any such deduction.

Teaching Reductions. (a) Members holding the rank of Assistant Professor, Associate Professor, or Professor shall be eligible to apply to the VPAD for one (1) course reduction every academic year. A course reduction will normally be granted when the Member provides substantive evidence of a robust research agenda. Evidence of this research may include, but is not limited to: i. externally funded research grants or fellowships; ii. internally funded research grants or fellowships; iii. non-funded research in progress with a peer-reviewed publication commitment; or, iv. community-based research/scholarly engagement that requires substantial time commitment. (b) Members holding the rank of Assistant Professor, Associate Professor, or Professor may be granted more than one (1) course reduction in an academic year, with a multi-year grant valued in excess of $100,000. The number of course reductions shall be determined by the VPAD and the Member at the time the grant application is submitted. (c) Members holding the rank of Lecturer, excluding Definite-Term Lecturer Appointments, who provide substantive evidence of research that informs teaching practice, may apply to the VPAD with the support of their Chair, to request that their service component be fulfilled as research. Evidence of this research may include but is not limited to: i. externally funded research grants or fellowships that pertain to teaching and learning; ii. internally funded research grants or fellowships that pertain to teaching and learning; iii. non-funded research in progress with peer-reviewed publication commitments that pertain to teaching and learning; or, iv. community-based research/scholarly engagements that require substantial time commitment and pertain to teaching and learning. (d) Course reductions shall count as matching funds for external grant applications, where appropriate, on the part of the University College.
Teaching Reductions. 27.2.3.1 Teaching reductions will be made for Members in the following positions: (a) the Chair of a Department (6 credits over the Academic Year); (b) the President of CBUFA (6 credits over the Academic Year for Faculty, delivery of two (2) lab sections per term or one lab section and one prep per term for Lab Instructors, one (1) assignment from Group B activities in the fall and winter terms for Nursing Practice Educators); and (c) where it is determined by the ▇▇▇▇ of Research and the faculty Member’s School ▇▇▇▇ that such Member is engaged in major research (e.g. holding external research grants awarded from SSHRC, NSERC, CIHR, or comparable body) warranting relief from some of her/his teaching responsibilities (up to 6 credits during the Academic Year). A research grant applicant who intends to seek this teaching reduction is to make application for such teaching reduction to the Vice-President, Academic and Research with notification forwarded to her/his Department Chair, School ▇▇▇▇ and the ▇▇▇▇ of Research. When applying for the grant, he/she shall apply for a Release Time Stipend or similar reimbursement of teaching costs whenever possible. The Employer will conduct an annual review of the above requests for such teaching reduction and a fund will be established with a set quantum which will be re-evaluated on an annual basis. Requests for teaching reduction are subject to the approval of the Vice-President, Academic and Research and to budgetary and staffing restraints of the University. For the Chair of PP&T, either a teaching load reduction of three credits or the equivalent stipend will be granted as determined by the ▇▇▇▇ in consultation with the member and department. The Association may purchase additional units of course relief at staff replacement cost for one or more of its members. Course relief will be granted by the ▇▇▇▇/Director of Library Services subject to the department’s ability to provide release coverage. In the case of a Librarian who assumes the position of President of CBUFA, the workload reduction will be equivalent to one day per week. Any other teaching reductions shall be as agreed among an individual faculty Member, his/her Department Chair, and his/her School ▇▇▇▇. The Association shall be consulted on any such reduction.

  • Optional Reductions The Borrower may, upon notice to the Administrative Agent, terminate the Aggregate Revolving Commitments, or from time to time permanently reduce the Aggregate Revolving Commitments to an amount not less than the Outstanding Revolving Amount of Revolving Loans, Swing Line Loans and L/C Obligations; provided that (i) any such notice shall be received by the Administrative Agent not later than 1:00 p.m., five (5) Business Days prior to the date of termination or reduction, (ii) any such partial reduction shall be in an aggregate amount of $2,000,000 or any whole multiple of $1,000,000 in excess thereof and (iii) the Borrower shall not terminate or reduce (A) the Aggregate Revolving Commitments if, after giving effect thereto and to any concurrent prepayments hereunder, the Total Revolving Outstandings would exceed the Aggregate Revolving Commitments, (B) the Letter of Credit Sublimit if, after giving effect thereto, the Outstanding Revolving Amount of L/C Obligations not fully Cash Collateralized hereunder would exceed the Letter of Credit Sublimit, or (C) the Swing Line Sublimit if, after giving effect thereto and to any concurrent prepayments hereunder, the Outstanding Revolving Amount of Swing Line Loans would exceed the Swing Line Sublimit.

  • Salary Reduction A reduction in pay from one step to another, which is not below the minimum rate established for the position by the salary plan. A copy of the notice of reduction shall be sent promptly to the City Manager Department for inclusion in the employee's official personnel file.

  • Voluntary Reductions The Borrower shall have the right to terminate or permanently reduce the unused portion of the Revolving Committed Amount at any time or from time to time upon not less than five (5) Business Days’ prior written notice to the Administrative Agent (which shall notify the Lenders thereof as soon as practicable) of each such termination or reduction, which notice shall specify the effective date thereof and the amount of any such reduction which shall be in a minimum amount of $1,000,000 or a whole multiple of $1,000,000 in excess thereof and shall be irrevocable and effective upon receipt by the Administrative Agent; provided that no such reduction or termination shall be permitted if after giving effect thereto, and to any prepayments of the Revolving Loans made on the effective date thereof, the sum of the aggregate principal amount of outstanding Revolving Loans plus outstanding Swingline Loans plus outstanding LOC Obligations would exceed the Revolving Committed Amount then in effect.

  • Royalty Reductions (a) In the event that, during the Royalty Term for a Licensed Product and a country, (i) at the time of the First Commercial Sale of such Licensed Product in such country there is no Valid Claim that is infringed by the sale of such Licensed Product in such country for so long as there is no such Valid Claim, or (ii) if any such Valid Claim did exist as of such First Commercial Sale or thereafter but such Valid Claim has expired or otherwise no longer meets the definition of Valid Claim, then for any royalty payments made during the period when the condition set forth in (i) or (ii) exists with respect to such Licensed Product and such country, the royalties payable with respect to Net Sales of such Licensed Product sold by Jazz, its Affiliates and its Sublicensees in such country shall be reduced by [***] of the royalties otherwise owed to Codiak pursuant to this Section 8.10. In addition, if in any country in the Territory during the Royalty Term for a Licensed Product for such country, a Biosimilar/Generic Product is sold in such country and, according to a reasonable information source or reasonable proxy mutually agreed by the Parties, the units sold of all Biosimilar/Generic Products, collectively, exceed [***] or more of the unit sales of such Licensed Product in such country, then thereafter, the royalties payable with respect to Net Sales of such Licensed Product sold by Jazz, its Affiliates and its Sublicensees in such country shall be reduced by [***] of the royalties otherwise owed to Codiak pursuant to this Section 8.10. The reductions provided for by this Section 8.10.2(a) shall be calculated using the methodology outlined in Exhibit D. (b) Codiak will be responsible for all payment obligations owing to Third Parties under licenses to which Codiak or any of its Affiliates is a party as of the Effective Date or thereafter as set forth in Section 3.3. Other than any licenses or similar rights obtained by Jazz from a Third Party as contemplated in Section 3.3.5(b), if (i) the Exploitation of Licensed Compounds or Licensed Products as contemplated hereunder, including, for clarity, the use of any Agreed Included Codiak Platform Addition in connection with such Exploitation, would infringe or misappropriate any intellectual property that is owned or Controlled by a Third Party, and (ii) Jazz decides to obtain a license or other similar rights from such Third Party in order to avoid such infringement or misappropriation, then [***] of any payments made to such Third Party in connection with obtaining and maintaining such licenses may be deducted from the royalties otherwise payable by Jazz to Codiak hereunder; provided that in no event shall the aggregate royalties payable by Jazz to Codiak for any Calendar Quarter be reduced as a result of such deduction by more than [***] of the royalty that would otherwise have been due under Section 8.10.1, as such royalty amount is determined prior to the application of any reductions provided in this Section 8.10.2. If Jazz is unable to deduct the full amount of the payments to Third Parties contemplated by this Section 8.10.2(b) for a Calendar Quarter, Jazz will be entitled to carry forward such amounts and deduct them in future Calendar Quarters until such time as Jazz has been able to fully deduct such amounts from the royalties payable under Section 8.10.1. Notwithstanding the foregoing, in the case of payments due to a Third Party on sales in the Shared Territory for a Licensed Product for which Codiak exercised its Development and Commercialization Option, no deduction under this Section 8.10.2(b) shall be permitted but Jazz may include such payments in Allowable Expenses.

  • Mandatory Reductions If after giving effect to any reduction or termination of Revolving Commitments under this Section 2.06, the Letter of Credit Sublimit or the Swing Line Sublimit exceed the Aggregate Revolving Commitments at such time, the Letter of Credit Sublimit or the Swing Line Sublimit, as the case may be, shall be automatically reduced by the amount of such excess.
