Technical Committee. 1. The Technical Committee shall comprise: (a) nine experts representing different regions of the Agreement Area, in accordance with a balanced geographical distribution; (b) one representative from the International Union for Conservation of Nature and Natural Resources (IUCN), one from the International Waterfowl and Wetlands Research Bureau (IWRB) and one from the International Council for Game and Wildlife Conservation (CIC); and (c) one expert from each of the following fields: rural economics, game management, and environmental law. The procedure for the appointment of the experts, the term of their appointment and the procedure for designation of the Chairman of the Technical Committee shall be determined by the Meeting of the Parties. The Chairman may admit a maximum of four observers from specialized international inter- governmental and non-governmental organizations. 2. Unless the Meeting of the Parties decides otherwise, meetings of the Technical Committee shall be convened by the Agreement secretariat in conjunction with each ordinary session of the Meeting of the Parties and at least once between ordinary sessions of the Meeting of the Parties. 3. The Technical Committee shall: (a) provide scientific and technical advice and information to the Meeting of the Parties and, through the Agreement secretariat, to Parties; (b) make recommendations to the Meeting of the Parties concerning the Action Plan, implementation of the Agreement and further research to be carried out; (c) prepare for each ordinary session of the Meeting of the Parties a report on its activities, which shall be submitted to the Agreement secretariat not less than one hundred and twenty days before the session of the Meeting of the Parties, and copies shall be circulated forthwith by the Agreement secretariat to the Parties; and (d) carry out any other tasks referred to it by the Meeting of the Parties. 4. Where in the opinion of the Technical Committee there has arisen an emergency which requires the adoption of immediate measures to avoid deterioration of the conservation status of one or more migratory waterbird species, the Technical Committee may request the Agreement secretariat to convene urgently a meeting of the Parties concerned. These Parties shall meet as soon as possible thereafter to establish rapidly a mechanism to give protection to the species identified as being subject to particularly adverse threat. Where a recommendation has been adopted at such a meeting, the Parties concerned shall inform each other and the Agreement secretariat of measures they have taken to implement it, or of the reasons why the recommendation could not be implemented. 5. The Technical Committee may establish such working groups as may be necessary to deal with specific tasks.

Where a recommendation has been adopted at such a meeting, the Parties concerned shall inform each other and the Agreement secretariat of measures they have taken to implement it, or of the reasons why the recommendation could not be implemented.

Technical Committee. 1(a) The Parties shall form a Technical Committee (the “Technical Committee”) composed of their duly appointed representatives to supervise and control Operations in the Mutual Interest Lands.
(b) As soon as possible after the Effective Date, each Party shall notify the other Party in writing of the names and email addresses of its two (2) primary representatives. The representatives of a Party (each a “Technical Committee Representative”) shall be deemed to have full power and authority to represent and bind such Party with respect to all matters within the power of the Technical Committee, and all acts done by such Technical Committee Representative in such capacity shall be deemed to be the acts of the Party appointing such representative. An alternate Technical Committee Representative shall have full power to act for a Party in the absence of the primary Technical Committee Representatives. A Party may change any of its Technical Committee Representatives from time to time by written notice to the other Party. Epsilon shall be permitted to appoint a technical advisor who will provide input and oversight to HWN’s operational and land teams and may attend all Technical Committee and other meetings between the Parties.
(c) The Technical Committee shall comprise:
(a) nine experts representing different regions of the Agreement Areameet quarterly to review and discuss Operational technical plans, in accordance with a balanced geographical distribution;
(b) one representative from the International Union for Conservation of Nature and Natural Resources (IUCN), one from the International Waterfowl and Wetlands Research Bureau (IWRB) and one from the International Council for Game and Wildlife Conservation (CIC); and
(c) one expert from each of the following fields: rural economics, game managementstrategies, and environmental law. The procedure for the appointment of the expertsdecisions, the term of their appointment and the procedure for designation of the Chairman of the Technical Committee shall be determined by the Meeting of the Parties. The Chairman may admit a maximum of four observers from specialized international inter- governmental and non-governmental organizations.

Unless the Meeting of the Parties decides otherwiseincluding drilling, meetings of the Technical Committee shall be convened by the Agreement secretariat in conjunction with each ordinary session of the Meeting of the Parties and at least once between ordinary sessions of the Meeting of the Parties.

(a) provide scientific and technical advice and information to the Meeting of the Parties and, through the Agreement secretariat, to Parties;
(b) make recommendations to the Meeting of the Parties concerning the Action Plan, implementation of the Agreement and further research to be carried out;
(c) prepare for each ordinary session of the Meeting of the Parties a report on its activities, which shall be submitted to the Agreement secretariat not less than one hundred and twenty days before the session of the Meeting of the Partiescompletion, and copies shall be circulated forthwith by the Agreement secretariat to the Parties; andproduction strategies.
(d) carry out any other tasks referred At least ten (10) days’ notice of each meeting shall be given to it by the Meeting of the Parties.
4. Where in the opinion of the Technical Committee there has arisen an emergency which requires the adoption of immediate measures to avoid deterioration of the conservation status of one or more migratory waterbird specieseach Party, the Technical Committee may request the Agreement secretariat to convene urgently a meeting unless all of the Parties concerned. These Parties shall meet as soon as possible thereafter to establish rapidly a mechanism to give protection to the species identified as being subject to particularly adverse threat. Where a recommendation has been adopted agree in writing or by vote at such a meeting, the Parties concerned to waive or shorten such notice period. Notice of any meeting shall inform each other and the Agreement secretariat of measures they have taken to implement it, or be accompanied by an agenda together with reasonable details of the reasons why matters on the recommendation could not be implementedagenda.
5. (e) Epsilon will be consulted on major Operational decisions and will have fifteen (15) days) from the date it receives notice to provide input to HWN, which HWN will reasonably consider.
(f) The Technical Committee may establish such working groups as may be necessary to deal with specific tasksParties shall collaborate on technical decisions and day-to-day operational decisions through integrated technical teams.

Technical Committee. 1The Founders of the Trust create a Technical Committee (the "Technical Committee") that shall be subject to the following rules:
a) It will be integrated permanently by the Founders of the Trust. Each member of the Technical Committee , shall have right to one vote per Share corresponding to the assets of this trust.
b) The Technical Committee shall comprise:
(a) nine experts representing different regions instruct in writing to the Trustee in order to confer power of attorney in favor of the Agreement Areapersons that the Technical Committee appoints, for them to attend to the shareholders' meetings of VISA, representing the SHARES. Furthermore, the Technical Committee shall instruct to the Trustee in order to exercise the vote of the SHARES in such shareholders' meetings, in accordance the direction that the Technical Committee agrees. In the event that the Technical Committee would have been summoned and would have not instructed to the Trustee with a balanced geographical distribution;respect to whom should be attending the shareholders' meetings of VISA, or in which direction to vote the SHARES, the responsibility of representation shall fall on the persons appointed by the president of the Technical Committee, voting the SHARES in the direction that said president instructs.
(b) one representative from the International Union for Conservation of Nature and Natural Resources (IUCN), one from the International Waterfowl and Wetlands Research Bureau (IWRB) and one from the International Council for Game and Wildlife Conservation (CIC); and
(c) one expert from each of the following fields: rural economics, game management, and environmental law. The procedure for the appointment of the experts, the term of their appointment and the procedure for designation of the Chairman president of the Technical Committee shall be determined Mr. Eugenio Garza Laguera a▇▇ ▇▇ ▇▇▇ ▇▇▇▇▇▇▇ Mr. Jose Antonio Fernandez Carbajal, and ▇▇ ▇▇▇▇▇▇▇ ▇▇ ▇▇▇▇, ▇he person appointed between them, the members of the Technical Committee; shall act as secretary the person appointed by the Meeting members of the PartiesTechnical Committee, which may not be a Founder of the Trust.
d) The Technical Committee shall meet at least twice a year, the first time during the first quarter of the year and the second on the fourth quarter of the same year, with the option to meet during any other time. The Chairman may admit a maximum meetings shall be held, in any event, prior notice sent by the Trustee at the president's request, secretary or at least by 3 (three) of four observers from specialized international inter- governmental its members, with at least 7 (seven) business days prior to the date of the meeting. The notice shall be sent by the Trustee to the members of the Technical Committee, to the domiciles appointed by them. Furthermore, any other matter that requires to be discussed in the Technical Committee meeting, in the meetings that are held the first and non-governmental organizationsfourth quarter of each year shall be reviewed the most relevant operation and strategy issues of VISA.
2. Unless e) The Technical Committee shall be established in the Meeting first call, with the attendance of the Parties decides otherwisemembers of the Technical Committee that represent the majority of the SHARES and in second call with any number of SHARES that are represented. The Technical Committee's resolutions shall be valid when they are voted by the majority of the SHARES that represent the members attending to such Technical Committee, meetings provided that it will be required the vote in favor from the members of the Technical Committee that represent at least 75% of the SHARES and that are represented by at least the SHARES of three members of the Technical Committee in the following issues that are presented for their consideration: (i) change of VISA different to the change from sociedad anonima de capital variable to sociedad anonima or vice versa; (ii) spin-off of VISA or merger of VISA with other company; (iii) change in corporate purpose of the company; (iv) change in nationality; (v) dissolution and liquidation of the company; (vi) cancellation of the registration of the shares on the Securities and Especial Section of the National Registry of Securities and Intermediaries and on the national or foreign stock exchanges in which they are registered, except in the event of a cancellation of the "D" Shares of VISA, as a consequence of its conversion into "L" Shares of VISA in accordance with its by-laws; (vii) any operation by which VISA looses the control of any of the following subsidiaries: Femsa Cerveza, S.A. de C.V., Coca-Cola Femsa, S.A. de C.V., Femsa Empaques, S.A. de C.V. or Femsa Comercio, S.A. de C.V., or any other company that may have been acquired in accordance with sub-section (viii) hereafter; and (viii) the acquisition by any mean, by VISA or any of its subsidiaries, of shares of a company, if the price of such shares exceeds 15% of the consolidated assets of VISA. In any meeting, in the event of a tie, the President shall have casting vote.
f) Of each meeting of the Technical Committee, a minute shall be drawn up and signed by the president and the secretary of the Technical Committee, and shall establish in a book that shall be held under Trustee's responsibility and a copy of such minute shall be sent to the members of the Committee.
g) The decisions made by the Technical Committee shall be convened notified in writing to the Trustee, by the Agreement secretariat in conjunction with each ordinary session secretary of the Meeting Technical Committee, for the duly compliance of the Parties and at least once between ordinary sessions corresponding.
h) The members of the Meeting of the Parties.
3. The Technical Committee shall:
(a) provide scientific and technical advice and information to the Meeting may no be removed of the Parties and, through the Agreement secretariat, to Parties;
(b) make recommendations to the Meeting of the Parties concerning the Action Plan, implementation of the Agreement and further research to be carried out;
(c) prepare for each ordinary session of the Meeting of the Parties a report on its activitiestheir responsibilities, which shall be submitted honorary and as consequence will not have the right to a any compensation for their performance an in the Agreement secretariat not less than one hundred and twenty days before the session event of the Meeting of the Partiesabsence or definitive absence, and copies shall be circulated forthwith replaced by the Agreement secretariat to person who the Parties; and
(d) carry out any other tasks referred to it by the Meeting of the Parties.
4. Where member in the opinion question of the Technical Committee there has arisen an emergency which requires Committee, and in the adoption absence of immediate measures to avoid deterioration of the conservation status of one or more migratory waterbird speciessuch appointment, the person who will replace the member, shall be appointed by the Technical Committee may request the Agreement secretariat to convene urgently a meeting of the Parties concerned. These Parties shall meet as soon as possible thereafter to establish rapidly a mechanism to give protection to the species identified as being subject to particularly adverse threat. Where a recommendation has been adopted at such a meeting, the Parties concerned shall inform each other and the Agreement secretariat of measures they have taken to implement it, or of the reasons why the recommendation could not be implementedCommittee.
