Common use of THE LETTING Clause in Contracts

THE LETTING. 2.1 The Lessor shall lease to the Lessee and the Lessee shall take on lease the Goods upon and subject to the terms and conditions of the Lease. The Letting of the Goods under each Lease Contract shall commence on the relevant Commencement Date and, unless terminated in accordance with the terms of this Agreement, shall continue for the Rental Term. 2.2 Each Lease Contract shall incorporate the terms of this Agreement and be a separate agreement for the Letting of the Goods therein described. All sums payable pursuant to or in respect of any Lease Contract shall be calculated, assessed and paid independently of and without regard to any other Lease Contract. 2.3 The Lessee's rights to use the Goods are conditional upon the due performance by the Lessee of its obligations under the relevant Lease Contract subject to which, the Lessee shall be entitled peaceably to hold and use the Goods without interference from the Lessor, or any person claiming title through the Lessor. 2.4 All risk of loss or damage to the Goods shall pass from the Lessor, supplier or vendor upon delivery of the Goods to the Lessee or, where applicable, the installation of the Goods at the Lessee's premises. The Lessee shall be responsible for arranging the delivery of the Goods and, where applicable, their installation, commissioning and testing with the supplier or vendor. The Lessee shall inspect the Goods upon their delivery or, where applicable, installation to check if they are in accordance with the description contained in Schedule 1 to the relevant Lease Contract, in good order and condition and fit for all purposes for which they are required by the Lessee. Unless the Lessee notifies the Lessor within 7 days of delivery of the Goods or, where applicable, their installation or commissioning of any defect in or issue with the Goods, the Lessor shall be entitled to presume that the Goods are complete, in good order and condition and fit for the purpose for which they are required and satisfactory to the Lessee.
