Training and Consulting Services. 3DP shall provide up to an aggregate of [**] of (i) training and support services to qualified BMS personnel during [**] pertaining to the operation and support of the Proteomica(TM) Database, at no additional charge to BMS, and (ii) Consulting Services (pursuant to Article 5). Any such training and support will be provided at such times and in such places and in such form as may be mutually agreeable to the Parties.

Training and Consulting Services. If so indicated on an Order, AgileCraft will provide to Licensee training services (“Training”) and/or the consulting services identified on a Statement of Work attached to the Order and executed by Licensee and AgileCraft (“Consulting”). Training and Consulting are sometimes collectively referred to as “Professional Services.” If Licensee requires a change in the Professional Services delivery dates, AgileCraft will use reasonable efforts to accommodate the change and schedule alternatives; however, if the Professional Services are not rescheduled for completion prior to the expiration of the Training Credits (if any, as set forth on the applicable Order), the Training Credits will be cancelled and not available to Licensee. ; AgileCraft hereby grants Licensee a non-exclusive, non- transferable license to use and modify all documentation, reports, and any other deliverables delivered as a result of the Professional Services (“Deliverables”) solely for Licensee’s internal use. AgileCraft warrants that Professional Services will be performed in a workmanlike, professional manner by qualified personnel, and that Consulting will be performed in conformity with the terms of the applicable Statement of Work. In the event of a breach of this warranty, Licensee will notify AgileCraft of the breach within ninety (90) days of completion of the Professional Services and AgileCraft will promptly re-perform the Professional Services at no additional cost to Licensee. If AgileCraft is unable to correct the deficient performance of Professional Services within a commercially reasonable time, Licensee may terminate the applicable Statement of Work (if the Professional Services are Consulting) and receive a refund of amounts paid in respect of the deficient Professional Services.

Training and Consulting Services. If so indicated on an Order, Magniforce will provide to Licensee training services (“Training”) and/or the consulting services identified on a Statement of Work attached to the Order and executed by Licensee and Magniforce (“Consulting”). Training and Consulting may also be referred to as “Professional Services”. Magniforce will remain in an independent contractor relationship to Licensee at all times, and neither Magniforce nor any employee or subcontractor of Magniforce will be, or will be deemed to be, an employee or agent of Licensee. Magniforce warrants that Professional Services shall be performed in a commercially reasonable manner by qualified personnel, and that Consulting will be performed in conformity with the terms of the applicable Statementof Work and all applicable law.

Training and Consulting Services. Upon request of Customer, Metavante agrees to provide the relationship management consulting services and user training specified on EXHIBIT A2 attached hereto (collectively, "Consulting Services"). Customer shall reimburse Metavante for all reasonable and actual out-of-pocket expenses incurred by Metavante in connection with the Consulting Services including supplies, travel, lodging and meals. Customer shall pay for its attendees.

Training and Consulting Services i. The Contractor will provide a total of eight (8) hours of staff training annually for applicable installed and portable audio-visual equipment and systems. ii. The Contractor will make all commercial efforts to provide immediate remote telephone consultation services for new equipment and technology assessment and solution inquiries.

Training and Consulting Services. As a Qualiopi-certified training organisation (registered with the Préfet de la région Île de France under no. 11920658392), Allplan France offers business-specific training courses. The aim of the training is to enable the trainee(s) to master the Software. (a) Scope of training All requests for training will initially be subject to a quotation detailing all the training proce- dures. Then, to finalise the training file, ALLPLAN will send all the necessary administrative doc- uments, signed and stamped (including the training agreement and the training programme). Once all the formalities have been completed and the contractually agreed payment has been received, the training course will be confirmed on the training teams' schedule and ALLPLAN will then send the trainees the invitation to attend. ALLPLAN reserves the right to refuse a trainee in the event of non-compliance with these rules. The Training Services take place on working days (excluding public holidays), during the following time slots (mainland France): from 9.00 am to 12.30 pm and from 1.30 pm to 5 pm. They can be carried out on Customer's site, in a branch or remotely using an appropriate platform. (b) Invoicing conditions, duration, cancellation and reimbursement of costs aa) Duration‌ The duration of the course is specified in the Training Agreement signed between the parties. The Consulting Services are provided as specified in the Order Form. bb) Billing The Training Service is billable from the 1er day of training. Invoices are payable under the con- ditions specified in the Training Agreement. Consulting Services will be invoiced according to the terms of the Order form as agreed with the Customer.

Training and Consulting Services. Upon request of Customer, M&I agrees to provide the relationship management consulting services and user training specified on attached Exhibit B (collectively, "Consulting Services"). Unless otherwise specified on Exhibit B, hourly rates for Consulting Services are billable at M&I's then-current rates. Customer shall reimburse M&I for all reasonable and actual out-of-pocket expenses incurred by M&I in connection with the consulting services including supplies, travel, lodging and meals. Customer pays for their attendees.

Training and Consulting Services. If and as mutually agreed by the parties in a subsequent written and executed Professional Services Agreement and Statement of Work (“SOW”), Licensor may also provide certain consulting or training services or other similar professional services (“Consulting Services”) in addition to the Service(s). Consulting Services may include, without limitation, the provision of private or public training courses, workshops, process or organizational design, and/or other training, except for any of the foregoing that may already be included in the Content Portal or specifically identified in the Order Form as provided as part of the Service(s). All Training Consulting Services must be separately identified in an SOW with all applicable Fee set forth therein. Customer shall reimburse Licensor for actual and reasonable travel and travel-related expenses incurred by Licensor in connection with the Consulting Services provided hereunder.
