Pursuant to the Agreement and Declaration of Trust of the Trust and Section 3804(a) of the Delaware Statutory Trust Act, there is a limitation on liabilities of each series such that (a) the debts, liabilities, obligations and expenses incurred, contracted for or otherwise existing with respect to each Fund are enforceable against the assets of such Fund only, and not against the assets of the Trust generally or the assets of any other series thereof and (b) none of the debts, liabilities, obligations and expenses incurred, contracted for or otherwise existing with respect to the Trust generally or any other series thereof are enforceable against the assets of such Fund.
Trust Limitation of Liability. The Trust shall not be liable for any error of judgment or mistake of law or for any loss or damage suffered by the Transfer Agent in connection with the performance of this Agreement or any agreement with a third party, except a loss resulting directly from willful misfeasance, bad faith, gross negligence, or reckless disregard on the part of the Trust in the performance of its duties or from reckless disregard by it of its duties under this Agreement. The provisions contained in section shall survive the expiration or other termination of this Agreement, shall be deemed to include and protect the Trust and its Trustees, officers, employees, and agents and shall inure to the benefit of its/their respective successors, assigns, and personal representatives.
Trust Limitation of Liability. For the purposes of this paragraph (d) and paragraph (e) of Section 7 the term “Trust” shall include Trustees, officers and other agents of the Trust, as well as the Trust itself. The duties of the Trust shall be confined to those expressly set forth in this Agreement, and no implied duties are assumed by or may be asserted against the Trust. The Trust shall not be liable for any error of judgment, mistake of law, loss or damage suffered by the Administrator in connection with any act or omission of the Trust in carrying out its duties under this Agreement, except a loss or damage resulting directly from willful misconduct or gross negligence on the part of the Trust in the performance of its duties under this Agreement, or from reckless disregard by the Trust of its obligations under this Agreement. Further, in no event shall the Trust be liable under any provision of, or in connection with, this agreement (regardless of whether a claim is based on contract, tort, or otherwise) for any damages other than actual and direct damages, and the Trust shall have no liability for any incidental, indirect, consequential, special, or exemplary damages or losses which the Administrator may incur or suffer, whether or not the likelihood or possibility of such damages was known to the Trust in advance.

  • 3Limitation of Liability ICANN’s aggregate monetary liability for violations of this Agreement will not exceed an amount equal to the Registry-Level Fees paid by Registry Operator to ICANN within the preceding twelve-month period pursuant to this Agreement (excluding the Variable Registry-Level Fee set forth in Section 6.3, if any).
