Unauthorized Services Clause Samples
The Unauthorized Services clause defines and prohibits the provision or use of services that have not been expressly approved or permitted under the agreement. In practice, this means that any services outside the agreed scope—such as additional consulting, support, or third-party integrations—cannot be performed or charged for unless specifically authorized in writing by the relevant party. This clause serves to prevent misunderstandings and disputes by ensuring that only agreed-upon services are delivered and compensated, thereby protecting both parties from unexpected obligations or liabilities.
Unauthorized Services. No claim for services furnished or requested for reimbursement by Contractor, not provided for in this contract, shall be allowed by the Department. In the event the Department determines that certain costs which have been reimbursed to Contractor pursuant to this or previous contracts are not allowable, the Department shall have the right to set off and withhold said amounts from any amount due the Contractor under this contract for costs that are allowable.

The DESIGN-BUILDER acknowledges and agrees that if at any time it performs Services for the Project outside of the Scope of Services and such Services have not been approved in writing in advance by CITY, then the DESIGN-BUILDER shall perform such Service without liability to CITY, and at the DESIGN-BUILDER’s own risk.
