Validity and Effect Clause Samples

Validity and Effect. This Agreement has been duly authorized, executed and delivered by Investor and, assuming the due authorization, execution and delivery by Seller, this Agreement constitutes the valid, legal and binding obligation of Investor, enforceable in accordance with its terms, except to the extent that enforceability may be limited by bankruptcy, insolvency, moratorium or similar laws affecting the enforcement of creditors' rights generally.

Validity and Effect. This Agreement shall become valid and effective on the day on which it is signed by both Contracting Parties.

Validity and Effect. The validity and effect of this Lease shall not be impaired in any way by the failure of Landlord to complete the repair and restoration of the Property or the Building within one hundred eighty (180) days after the occurrence of the casualty, even if Landlord had in good faith notified Tenant that the repair and restoration would be completed within such period, provided that Landlord proceeds diligently with such repair and restoration; provided, however, if the Property or the Building are not restored within two hundred and ten (210) days after the occurrence of the casualty, Tenant shall have the right to terminate this Lease by written notice to Landlord.

Validity and Effect. The validity and effect of this Sublease shall not be impaired in any way by the failure of Development Entity to complete the repair and restoration of the Property within one hundred eighty (180) days after the occurrence of an Event of Casualty, even if Development Entity had in good faith notified CRA that the repair and restoration would be completed within such period, provided that Development Entity proceeds diligently with such repair and restoration; provided, however, if restoration of the Property or the Premises is not substantially completed within three hundred and sixty five (365) days after the occurrence of the casualty, CRA shall have the right to terminate this Lease by written notice to Development Entity.

Validity and Effect. Each of the Parties agrees to perform such acts, sign and deliver such other agreements, cause such meetings to be held, resolutions passed and by-laws enacted, exercise their vote and influence as may be necessary or desirable from time to time in order to give full effect to this Agreement.

Validity and Effect. Notwithstanding the Effective Date, this Agreement shall not be deemed valid and enforceable until such time as (1) an authorized representative of each Party has properly executed the same, (2) an authorized representative of ▇▇▇▇▇ has approved and executed the Acknowledgment and Consent of Owner, and (3) the Agreement has been properly recorded.

Validity and Effect. The execution and delivery of this Agreement and all other Transaction Documents by the Company and BXI, and the consummation by each of them of the Transactions, have been duly authorized by all requisite corporate action. This Agreement constitutes, and any other Transaction Documents which are to be executed and delivered by the Company and BXI, when executed and delivered pursuant hereto, will constitute the valid and legally binding obligations of the Company and BXI, enforceable in accordance with their respective terms subject to applicable bankruptcy, insolvency and similar laws affecting the rights of creditors generally and to general equitable principles.
