Vessel Registration Sample Clauses

Vessel Registration. Each vessel identified in Schedule III is duly registered under the laws of the jurisdiction set forth in Schedule III in the name of the applicable Operating Subsidiary identified in Schedule III, free and clear of all Liens except for Permitted Liens.

Vessel Registration. Each vessel identified in Exhibit B is duly registered under the laws of the jurisdiction set forth on Exhibit B in the name of the applicable Operating Subsidiary or other Teekay Entity identified in Exhibit B, free and clear of all Liens except for Permitted Liens.

Vessel Registration. Each of the vessels owned by the Company or any of its subsidiaries (each an “Owned Vessel”) has been duly registered as a vessel under the laws and regulations and flag of the applicable jurisdiction in the sole ownership of the Company or such subsidiary (the “Vessel Owner”) and each such Vessel Owner has good and marketable title to the Owned Vessel, free and clear of all mortgages, pledges, liens, security interests and claims except as set forth in the Registration Statement, the Time of Sale Prospectus and the Prospectus; and each such Owned Vessel is, as of the date hereof, in good standing with respect to the payment of past and current taxes, fees and other amounts payable under the laws of the jurisdiction where it is registered as would affect its registry with the ship registry of such jurisdiction except for failures to be in good standing which would not, individually or in the aggregate, reasonably be expected to result in a Material Adverse Change.

Vessel Registration. Each vessel identified in Schedule I-A is duly registered under the laws of the jurisdiction set forth on Schedule I-A in the name of the applicable Vessel Owning Subsidiary identified in Schedule I-A, free and clear of all Liens except for Permitted Liens.

Vessel Registration. Each Vessel is duly registered under the laws of the jurisdiction set forth on Schedule 6(z) in the name of and, directly and wholly owned by the applicable entity identified on Schedule 6(z), free and clear of all Liens except (i) as described, and subject to the limitations contained, in the Registration Statement and the Prospectus, (ii) such Liens as would not have, individually or in the aggregate, a Material Adverse Effect, or (iii) as do not materially affect the value of such properties, taken as a whole, as they have been used in the past and are proposed to be used in the future, as described in the Registration Statement and the Prospectus, taken as a whole, and do not materially interfere with the use of such properties except as disclosed in the Registration Statement and Prospectus.

Vessel Registration. Except with approval the Vessel is not registered or the Mortgage is not executed in accordance with and within the time specified in clause 23.6 (Vessel’s registration and mortgage) or after the start of the Mortgage Period, the registration of the Lampung FSRU under the laws and flag of its Flag State is cancelled or terminated or, where applicable, not renewed.
