WORK TO BE PERFORMED BY CONSULTANT. CONSULTANT agrees to provide such work as may be assigned either as described in this agreement, or by individual Purchase Orders, in writing by WESTERN. Each such assignment shall be made in the form of a written Purchase Order. Each such Purchase Order shall include, but shall not be limited to, a description of the nature and scope of the work to be performed by CONSULTANT, the amount of compensation to be paid, and the expected time of completion. WORK TO BE PERFORMED BY CONSULTANT. 15 5.1 CONSULTANT shall comply with all terms, conditions and requirements of this 16 Agreement including all documents incorporated in Section 39.
17 5.2 CONSULTANT shall perform such other tasks as necessary and proper for the full 18 performance of the obligations assumed by CONSULTANT ▇▇▇▇▇▇▇▇▇; including but not 19 limited to any additional work or change orders agreed upon pursuant to written 20 authorization as described in Paragraph 6.3, and as contemplated under Sections 13, 14, 21 and 28. Proposed additional work or change order requests, when applicable, will be 22 attached and incorporated herein under Exhibit “B” (as “B-1,” “B-2,” etc.).
23 5.3 CONSULTANT shall:
24 5.3.1 Procure all permits and licenses, pay all charges and fees, and give all notices that 25 may be necessary and incidental to the due and lawful prosecution of the services 26 to be performed by CONSULTANT under this agreement;
27 5.3.2 Keep itself fully informed of all existing and proposed federal, state and local laws, 28 ordinances, regulations, orders and decrees which may affect those engaged or 1 employed under this Agreement;
2 5.3.3 At all times observe and comply with, and cause all of its employees to observe and 3 comply with all applicable ordinances, regulations, orders and decrees mentioned 4 above;
5 5.3.4 Fully cooperate with State or Federal governmental agencies, or any other 6 recognized investigative/auditing entity’s, reasonable and lawful request for 7 information related to any investigation or audit of the COUNTY; and
8 5.3.5 Immediately report to COUNTY’s Contract Manager in writing any discrepancy or 9 inconsistency it discovers in said laws, ordinances, regulations, orders and decrees 10 mentioned above in relation to the work performed and any plans, drawings, 11 specifications or provisions of this Agreement.
WORK TO BE PERFORMED BY CONSULTANT. CONSULTANT shall comply with all terms, conditions, and requirements of the RFP, the Proposal, and this Agreement. CONSULTANT shall perform such other tasks as necessary and proper for the full performance of the obligations assumed by CONSULTANT hereunder. CONSULTANT shall: Procure all permits and licenses, pay all charges and fees, and give all notices that may be necessary and incidental to the due and lawful prosecution of the services to be performed by CONSULTANT under this agreement; Keep itself fully informed of all existing and proposed federal, state and local laws, ordinances, regulations, orders and decrees which may affect those engaged or employed under this Agreement; At all times observe and comply with, and cause all of its employees to observe and comply with all of said laws, ordinances, regulations, orders and decrees mentioned above; and Immediately report to COUNTY’s Contract Manager in writing any discrepancy or inconsistency it discovers in said laws, ordinances, regulations, orders and decrees mentioned above in relation to any plans, drawings, specifications or provisions of this Agreement.

3 3.3 CONSULTANT shall:
4 3.4.1 Procure all permits and licenses, pay all charges and fees, and give all notices that 5 may be necessary and incidental to the due and lawful prosecution of the services 6 to be performed by CONSULTANT under this agreement;
7 3.4.2 Keep him/herself fully informed of all existing and proposed federal, state, and 8 local laws, ordinances, regulations, orders and decrees which may affect those 9 engaged or employed under this Agreement; and
10 3.4.3 At all times observe and comply with, and cause all of his/her employees to 11 observed and comply with all of said laws, ordinances, regulations, orders, and 12 decrees mentioned above.
WORK TO BE PERFORMED BY CONSULTANT. 17 5.1. CONSULTANT shall comply with all terms, conditions and requirements of the Proposal 18 and this Agreement.

WORK TO BE PERFORMED BY CONSULTANT. 2.1. CONSULTANT shall perform and be responsible for providing the services described in Exhibit "B" which is attached hereto and incorporated by reference as though fully set forth herein.
2.2. Said work shall be completed in a lawful, professional, expeditious and timely manner.
2.3. CONSULTANT understands that all data supplied by COUNTY or MEMBERS and hosted by CONSULTANT shall be maintained on the COUNTY GIS Server (ICGIS) CONSULTANT shall upload or link to ICGIS to host data. Further if CONSULTANT contracts with COUNTY or MEMBER for additional services which involve loading data or layers to the system (data or layers available for view by all MEMBERS and COUNTY only), such input shall also be loaded to ICGIS. Layers or data solely for use by an individual MEMBER or COUNTY and not intended to be shared with any other MEMBER or COUNTY in any way, is not required to be maintained on ICGIS.
WORK TO BE PERFORMED BY CONSULTANT. 4 4.1. CONSULTANT shall comply with all terms, conditions and requirements of the Proposal 5 and this Agreement.
6 4.2. CONSULTANT shall perform such other tasks as necessary and proper for the full 7 performance of the obligations assumed by CONSULTANT hereunder.
8 4.3. CONSULTANT shall:
9 4.3.1. Procure all permits and licenses, pay all charges and fees, and give all notices that 10 may be necessary and incidental to the due and lawful prosecution of the services to be performed 11 by CONSULTANT pursuant to this Agreement;
12 4.3.2. Use the standard of care usual to CONSULTANT’s profession to keep itself fully 13 informed of all applicable existing and proposed federal, state and local laws, ordinances, 14 regulations, orders and decrees which may affect those engaged or employed under this Agreement, 15 any materials used in CONSULTANT’s performance under this Agreement or the conduct of the 16 services under this Agreement;
17 4.3.3. At all times observe and comply with, and cause all of its employees to observe and 18 comply with all of said laws, ordinances, regulations, orders and decrees mentioned above; and
19 4.3.4. Immediately report to ICTC in writing any discrepancy or inconsistency it discovers 20 in said laws, ordinances, regulations, orders and decrees mentioned above in relation to any plans, 21 drawings, specifications or provisions of this Agreement.
WORK TO BE PERFORMED BY CONSULTANT. (a) Consultant is hereby engaged by ATS to serve as a Director of ATS.
(b) Initially this Agreement shall expire on 1 July 2004, but may be extended annually on written agreement of the parties.
WORK TO BE PERFORMED BY CONSULTANT. 15 4.1 CONSULTANT shall commence work pursuant to this Agreement upon written 16 authorization from COUNTY to proceed.
17 4.2 CONSULTANT shall comply with all terms, conditions, and requirements of this Agreement.
18 4.3 CONSULTANT shall perform such other tasks as necessary and proper for the full 19 performance of the obligations assumed by CONSULTANT ▇▇▇▇▇▇▇▇▇; including but not limited to any 20 additional work or changes agreed upon pursuant to written authorization as described in Paragraph 4.4.
21 4.4 CONSULTANT shall make no changes to the Services to be performed pursuant to this 22 Agreement, including but not limited to additions, deletions, modifications or substitutions, nor shall 23 CONSULTANT perform any extra work (collectively, “Change Order Work”) without the prior written 24 consent of COUNTY. If CONSULTANT encounters conditions it considers different from those described in 25 Exhibit A to this Agreement, CONSULTANT may request a change order in conformance with COUNTY’s 26 standard procedure (“Change Order”). If COUNTY approves the request, CONSULTANT will execute a 27 Change Order and COUNTY’s execution of the Change Order shall confirm approval thereof. COUNTY may 28 order additional work, and CONSULTANT shall perform such changes in the Services as directed by 1 COUNTY in any Change Order prepared by COUNTY. COUNTY’s rights to eliminate portions of the Services 2 or to initiate a Change Order shall not be limited in any way.
3 4.4.1 CONSULTANT shall not be entitled to receive any compensation for work, labor, 4 materials, or changes of any kind, regardless of whether ordered by COUNTY or any of its representatives, 5 unless a Change Order has been submitted in writing and approved prior to the commencement of any
