THIS COLLATERAL SERVICING AGREEMENT (as amended, supplemented or otherwise modified from time to time, this “Agreement”), dated as of September 17, 2025, is entered into by and between NORTH HAVEN PRIVATE CREDIT CLO 1 LLC, a limited liability company formed under the laws of the State of Delaware (the “Issuer”) and MORGAN STANLEY DIRECT LENDING FUND, a Delaware corporation, as collateral servicer (together with its successors and permitted assigns, “MSDL” and the “Collateral Servicer”).
