Active Employees definition

Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

Examples of Active Employees in a sentence

  • Nothing in this Agreement shall be deemed to prevent or restrict in any way the right of Buyer to terminate, reassign, promote or demote any of the Hired Active Employees after the Closing or to change adversely or favorably the title, powers, duties, responsibilities, functions, locations, salaries, other compensation or terms or conditions of employment of such employees.

  • DROP participants shall continue to accrue seniority in the same manner as Active Employees, except as otherwise provided in this Agreement.

  • Effective immediately before the Closing, Seller will terminate the employment of all of its Hired Active Employees.
