Actual Net Asset Value shall be the actual difference between those assets and liabilities of the Seller expressly identified on (and calculated in the same manner as) Exhibit A hereto (as provided by Purchaser). Actual Net Asset Value means the Net Asset Value based upon (A) all amounts agreed upon by Buyer and Seller in respect of any disputed items or amounts, as set forth in the Net Asset Value Memorandum; and (B) all other amounts determined by the Independent Accounting Firm pursuant to Section 3.6(c)(iii)(B).

Actual Net Asset Value will mean the Estimated Net Asset Value set forth in the Estimated Net Asset Value Statement delivered by Seller.
