Upon the terms and subject to the conditions of this Agreement, the Trust agrees to pay Counterparty the Additional Contract Price on the Option Closing Date (as defined in Section 1.3(b)), and in exchange, the Counterparty agrees to deliver to the Trust on the Exchange Date a number of additional shares of Common Stock (the "Additional Shares") equal to the product of (x) the Additional Share Base Amount multiplied by (y) the Exchange Rate.
The price for the Additional Shares (the "Additional Contract Price") shall be an amount equal to the difference between (1) the aggregate proceeds to the Trust from the sale of the Additional Equity Trust Securities and (2) the aggregate cost to the Trust, as notified by the Trust to Counterparty on the Option Closing Date for the Additional Equity Trust Securities, of the Additional STRIPS.
If the machines are purchased by the Owner, the Owner shall bear the above-mentioned costs as Additional Contract Price and the Project Period will be postponed accordingly.
If the Construction Period is delayed caused by the Engineer’s failure to perform its obligations according to the Contract, Party A shall bear the Additional Contract Price caused by such delay, compensate for Party B’s relevant losses, and shall extend the delayed Construction Period.
In case that the suspension of construction is caused by reason of the Client, the Client shall bear any Additional Contract Price incurred, hold the Contractor harmless against any loss incurred resulting therefrom and extend the Duration accordingly; in case that such suspension is caused by reason of the Contractor, the Contractor shall bear any Cost incurred resulting therefrom and the Duration will not be extended.

Party A shall bear the Additional Contract Price and any losses incurred to Party B arising out of the incorrect orders and the delayed Construction Period shall be extended accordingly.
The Client shall assume all the Costs and Additional Contract Price arising from the modification of design, removal and re-installation and the Duration shall be extended accordingly.
If it is accepted, Party A shall bear all the Additional Contract Price arising therefrom, compensate Party B’s losses and extend the Construction Period accordingly.
The early completion contract shall include the Contractor's measures to ensure quality and safety of the Project and the conditions offered by the Employer for the early completion and Additional Contract Price required for the early completion.
